In my experience and from my general observations, governance regulations, policies, and board charters do not, by themselves, lead to better governance. They establish the rules, but they do not determine whether those rules will be upheld.

In practice, good governance depends far more on the people entrusted with the responsibility of governing.

It ultimately comes down to who is nominated to serve on the board. Character and integrity matter more than technical competence, qualifications, or an impressive career history. A board can have highly accomplished professionals and still fail if its members lack the courage to do what is right when it matters most.

Boards need people whose values are not negotiable. They need directors who believe that wrong is wrong, regardless of who is doing it, how influential that person is, or how many others approve of it. Governance is sustained by character far more than it is by rules.
