Per prima cosa è importante capire come funzionano le partecipazioni aziendali. Le tipologie di accordi si dividono in formali ed informali:

Gli accordi informali sono quelli legati maggiormente a legami produttivi (meno a quelli finanziari) per raggiungere delle macroaree di obiettivi, tra cui:
1. Conseguimento di economie di scala (nella parte industriale questo vuol dire nella maggior parte dei casi, diminuzione dei costi e aumento delle dimensioni di capacità produttiva)
2. Integrazione verticale (per aziende dissimili, ma complementari)
3. Economie di raggio d'azione (aziende dissimili, ma non complementari)

Gli accordi formali invece possono essere di tipo contrattuale o patrimoniale.
In finanza, gli accordi sono per la maggior parte di tipo patrimoniale: le motivazioni sono legate maggiormente al mero guadagno e sopratutto, alla possibilità di controllare in parte l'azienda in cui si partecipa.

🔑Gli accordi patrimoniali sono alla base dei gruppi aziendali che, attraverso dei legami prevalentemente di tipo partecipativo, permettono ad un soggetto economico di avere la possibilità di entrare a gamba tesa all'interno dei consigli di amministrazione di diverse aziende solo possedendo la percentuale di una.

In che modo?👀

👉 Nel caso di BlackRock e Vanguard il controllo è reciproco, rispettivamente:
- Vanguard detiene l'8.64% di BlackRock
- BlackRock a sua volta, poiché investe in Vanguard, detiene quote di Vanguard stesso.

Non finisce qui:
Nel momento in cui un'azienda detiene delle quote importanti di un'altra, a sua volta, entra indirettamente anche nel controllo delle società, controllate dalla società in cui investe: Vanguard, detiene quindi a sua volta una parte di % (calcolata in base alla % di investimento in BlackRock) delle aziende in cui partecipa BlackRock e viceversa.
Ovviamente, tanto più numerosi risultano i livelli di articolazione del gruppo, tanto superiore risulta la capacità di controllare molto con poco, quindi in conclusione possedere solo una minima parte, permette di controllare un elevato capitale
