Ryan Cohen just withdrew his CEO Performance Award from the July 7th proxy vote. No salary, no bonus, and now, no performance package either.
Remember the criticism that has followed this deal since day one. Michael Burry argued the entire comp package incentivized Cohen to dilute shareholders, because the market cap and EBITDA hurdles would supposedly reward him for doing acquisitions regardless of whether they created value. eBay’s board, in its rejection letter, listed “GameStop’s governance and executive incentives” as one of its six stated reasons for turning down the offer.
The whole bearish narrative rested on one idea: that Cohen was structuring a $56B acquisition to trigger his own pay package.
Basically Cohen just deleted that argument entirely.
By removing the award before it even goes to a vote, he takes the single most cited objection off the table. The board of eBay can no longer claim he’s pursuing this deal to inflate his personal compensation, because there is no compensation tied to it anymore. Burry’s central thesis loses its foundation and the governance critics lose their talking point.
Oh, and the timing is deliberate. The company says it will release detailed materials this week laying out the strategic rationale and operational plan for the combined company. So Cohen clears the personal-incentive question out of the way first, then presents the deal on its pure merits, with nothing for opponents to point at and say “he’s only doing it for the package.”
This is someone removing every possible objection between himself and the shareholders who will decide this. He already had no salary, no cash bonus, no time-vested equity. Now he’s walking away from the one thing that could have made him personally rich from this deal, so that the only way he benefits is the same way we benefit, through the GME shares he already holds.
