The Justice Department approved Paramount’s acquisition of Warner Bros. Discovery even though the career antitrust lawyers reviewing the deal had not finished their investigation and were leaning toward recommending a lawsuit to block it.
Senior DOJ officials decided to close the probe, believing the merger would strengthen competition in media and streaming rather than harm it. Their view was influenced in part by Paramount CEO David Ellison’s explanations about the company’s plans and finances.
