Maple Leaf Cement #MLCF already controls 88.28% of Pioneer Cement... Its board now proposes to absorb the remaining Pioneer business. Eligible #PIOC shareholders would receive 2.65 Maple Leaf shares for every Pioneer share, and Maple Leaf would issue 136,167,857 new shares... This is a stock funded buyout of the minority... The ratio alone does not tell you the value transferred: 2.65 x Maple Leaf price versus the Pioneer price For existing Maple Leaf holders, the important comparison is the earnings and cash flow from that final 11.72% against 136m extra shares The proposed effective date is July 1, 2026 Shareholder votes, regulatory permissions and Lahore High Court sanction still sit ahead My base case is cautious, but a slow climb to 119 is very plausible...
