Rambus Inc. $RMBS 2026 年第二季財報解析
#RMBS 營收與每股盈餘超標是真的，產品營收創高並加速也是真的，管理層對存貨的解釋合乎邏輯。
但 24% 的每股盈餘成長中有超過四分之一來自稅率假設變更；營收成長 20% 換不到任何利潤率擴張，且管理層已親口排除漲價選項；上半年營運現金流反而衰退 16%；公司同時取消一個透明度指標，並對進行中的刑事反托拉斯調查目前在法說會上隻字未提。

2026 年 1 月，美國 DOJ 反托拉斯署、FBI 與郵政總局督察長辦公室，對 Montage 與 Renesas 執行搜索票。
4 月 28 日，Rambus 在 SEC 文件中揭露，收到聯邦大陪審團傳票，屬於價格操縱刑事調查的一部分。
到了 7 月，南韓檢方再突襲 Rambus、Montage 與 Renesas 三家公司。
同樣三家公司、同樣產品、同樣涉嫌行為，橫跨兩個司法管轄區。雖然目前沒有官方文件明說兩國正在聯合辦案，但從調查對象與時間軸來看，至少可以確認兩地執法高度重疊。
媒體報導指出，這三家公司據稱掌握全球超過 93% 的記憶體介面晶片供給。
同時 Rambus 管理層自己在法說會上提到的市占率約為 mid-40%；另一份法律文件則顯示，Rambus 約供應 40% 的 DDR5 RCD，其餘由 Renesas 與 Montage 分食。
但請注意調查不等於有罪，高市占也不代表串通。這句話，大叔要寫兩次。
我考慮的問題是曝險有多大
Rambus 1Q26 營收為 1.802 億美元，其中產品營收 8,800 萬美元，約占 49%；授權帳單 7,080 萬美元；合約及其他收入 2,260 萬美元。
而目前調查標的是 DDR5 的 RCD 與資料緩衝器。也就是說這件事影響的是產品營收的一部分，不是整家公司。授權與合約收入目前並不在直接射程內。
曝險上限大約是半數營收，實際上可能更低。 另外Rambus 手上約有 7.86 億美元現金及有價證券，年營運現金流約 3.6 億美元。
單看刑事罰款未必傷筋動骨。Sherman Act 有法定上限，即使走不法所得倍數計算，公司也不是付不起。
但請記住美國反壟斷私人訴訟可主張三倍賠償，若大型雲端客戶、伺服器模組採購商或其他下游客戶提告，分母可能是整個 DDR5 伺服器供應鏈的採購金額。
刑事罰款通常還能估算上限，民事三倍賠償的風險，反而更難編進模型。
所以大叔在他7 月 27 日財報，會注意法律程序附註的措辭：
1. 是否從「無法合理估計」改成提供損失區間
2. 是否新增南韓當局相關段落
3. 是否揭露南韓營收占比
4. 管理層是否開始描述調查對營運、客戶關係或定價的潛在影響
對照 Montage，目前公司僅表示正在配合調查、營運正常，尚未受到正式指控。
只能說記憶體超級循環，企業賺得越多，專利權人越想收租；定價權越強，反壟斷機關越想知道，這些利潤究竟從哪裡來。
