An unusual governance update from #RashiPeripherals, stock is already down 18% Independent Director Anil Khandelwal has resigned with immediate effect — but what makes this notable is the detailed reasoning he has put on record. “During my tenure, I have experienced a fundamental divergence between my understanding of sound governance and the manner in which certain important matters have been approached.” Here are the key concerns raised by him 👇 1️⃣ NRC Process He questioned the independence and effectiveness of the Nomination & Remuneration Committee in: • Director selection • KMP compensation According to him, these matters were being treated “substantially as management prerogatives” rather than matters for independent NRC deliberation. He also says that despite raising these concerns orally and in writing, the process did not improve. 2️⃣ Potential conflict involving Independent Directors This is probably the more serious point. Khandelwal states that professional due-diligence assignments relating to a proposed acquisition were given to firms where 2 Independent Directors — including the Audit Committee Chairman — held senior partner positions. According to his letter: • These engagements were not disclosed at the relevant Board meeting • The concerned directors did not recuse themselves • The stated position was that such recusal/disclosure was not legally required Importantly, these are concerns/allegations raised by the resigning director; He nevertheless makes his own position very clear: “the issue, in my view, goes beyond technical compliance.” And further says good governance should require transparency around selection of such firms, disclosure of relationships and safeguards against actual, potential or perceived conflicts. 3️⃣ His concluding observation is quite strong He says the issues collectively relate to: → Transparency → Process integrity → Independence → Institutionalisation → Functioning of the Board & Committees And finally states: “the prevailing governance culture does not provide an environment conducive to meeting governance standards to the level I believe appropriate for a listed company.” That ultimately led him to resign.
