➤ SEPC entered into a formal restructuring resolution plan under the Reserve Bank of India’s Prudential Framework for Resolution of Stressed Assets (2019) with a consortium of banks led by Punjab National Bank. This was done because the company was facing financial stress and had significant outstanding bank debt.
➤ SEPC had much higher bank debt in earlier years as part of its resolution plan — the company’s fund-based debts were around Rs.907 cr at the time of its RBI resolution plan implementation in September 2022.
➤ Due to this restructuring :- SEPC’s total debt significantly reduced compared with earlier levels.
➤ After rights issues and debt restructuring, including conversion into long-dated instruments and promoter infusion, the outstanding bank borrowings have reduced sharply over the last couple of years.
➤ SEPC Limited raised 350 crore though Rights issuance & at an issue price of Rs 10 each, and was successfully completed in June 2025.
Status: Rights issue was Successfully closed and oversubscribed.
➤ Projected Debt Status (Mar 2026) :- SPEC is expected to be nearly debt-free by Mar 2026.Only 56 Cr in Cash Credit and 14 Cr in Term Loan to remain.
However, as per the disclosures, one of the promoters, ***MARK AB Welfare Trust***, has been continuously selling shares in the open market, which appears to be the primary reason for the decline in the share price. Otherwise, considering the company is reporting profits and holds an order book of nearly Rs.10,000 crore, it seems difficult to justify trading at the current levels (on 05-June-2026
