Spoofing has been outlawed since 2010, and it has been at the center of a years-long campaign by U.S. authorities to root out market manipulation.
In the modern stock market, high-speed trading firms like Citadel and Susquehanna provide stock quotes throughout the day, executing orders from other investors while collecting a thin spread between the buying and selling price of the shares.
Northwest alleges that it found thousands of spoofing episodes involving tens of millions of "baiting orders" over a five-year span. It was able to identify the market participants using trading data.
The alleged spoofing trades occurred between December 2017 and August 2022 and allegedly interfered with the natural forces of supply and demand and drove the company's share price downward.
Northwest argues that these market makers knew it was unlawful to execute the alleged trades and should have had procedures in place to detect and prevent them.
The company claims that the alleged spoofing trades battered the stock price even as it released positive results from the trial of its lead product brain cancer treatment. In its suit, the company wrote that it had sold more than 49 million shares to raise money “at artificially depressed prices.”
Northwest stated in its complaint that a clear indicator of a manipulative spoofer is a swift shift in trading direction, characterized by numerous sell orders followed by buy orders, and the subsequent withdrawal of the initial sell orders.
This pattern implies that the original sell orders were not meant to be fulfilled, but instead were employed as a tactic to reduce the price and enable a purchase at a lower cost. Northwest reported discovering numerous instances of spoofing over the course of five years, involving tens of millions of "baiting orders," and was able to identify the individuals participating in these actions using trading data.
