#StockInNews | Embassy Development is set to enter Lucknow's commercial real estate market with a proposed ₹1,500 crore project after signing an MoU with the Uttar Pradesh government
@DigariRabi32620 has the details
#EmbassyDevelopment #Lucknow #RealEstate #UttarPradesh #Markets
#SINNAR #THERMAL #CANARABANK #NCLAT #EMBDL #EMBASSYDEVELOPMENT
1️⃣ First, the straight answer (important)
Operationally and business-wise: NO link
Legally and technically: YES, but only because of an old guarantee claim.
That distinction is why the stock is crashing even though the business is fine.
2️⃣ What exactly is the issue?
🔹 What Canara Bank is claiming
Embassy Developments (earlier Indiabulls Real Estate) was once connected to Sinnar Thermal Power.
Sinnar Thermal was demerged in 2011 and has nothing to do with Embassy today. However, Canara Bank claims: Embassy had given a corporate guarantee / undertaking long back. Outstanding amount claimed: ₹372.36 crore. Based on this, Canara filed a Section 7 IBC case.
3️⃣ Why did NCLT admit the case if the plant was demerged?
👉 NCLT does NOT decide final guilt at admission stage. It only checks: Is there a claim? Is there a default allegation? Is paperwork “prima facie” acceptable?
So: NCLT did not say **Embassy is liable**
It only said: “Let CIRP start and let this be examined”
That’s why admission happened.
4️⃣ Why NCLAT staying the order is a BIG positive (market is ignoring this)
On 11 Dec 2025, NCLAT stayed the NCLT order.
This means: CIRP is frozen No IRP control Board remains in control No creditor committee No insolvency proceedings in practice More importantly, NCLAT observed prima facie serious legal issues, especially:
⚖️ Section 10A (Covid protection)
Alleged guarantee invocation date: 30 Sept 2020
This falls inside Section 10A window, during which IBC filings are barred If this holds → case becomes legally non-maintainable
⏳ Limitation issue
Old claim revived after many years
Limitation may be breached
👉 These are strong grounds to dismiss the case outright.
5️⃣ So why is the market still panicking?
**Because markets react to headlines, not legal nuance.**
Headline seen by most traders:
“NCLT admits insolvency plea against Embassy Developments” What most don’t process: It’s stayed
It’s legally contestable It relates to a 2011-demerged power asset New promoter (Embassy Group) has no connection to that asset IBC risk = maximum fear trigger in Indian markets.
6️⃣ Does the thermal plant demerger STILL matter today?
✅ In business reality: No connection. Zero operational impact.
⚠️ In law: Only if: Court accepts bank’s claim that an enforceable guarantee still exists and Section 10A protection is rejected That’s the binary legal risk.
7️⃣ Logically :
The power plant was demerged long ago, The company today is a pure real estate developer
Embassy Group has:
Put in fresh equity at ₹111+
Cleaned up balance sheet
Restarted sales momentum
Projects are selling strongly, This is not a business failure story, It is a legacy legal overhang story.
8️⃣ What really decides the future price action
🔑 Single biggest trigger:
NCLAT outcome on 22 Jan 2026
Two scenarios:
✅ Scenario 1: Case dismissed / set aside
Insolvency fear vanishes Sharp sentiment reversal
Stock re-rates back to Embassy growth narrative
This kind of dismissal often leads to fast, violent upside
❌ Scenario 2: Case upheld
Full CIRP risk
High uncertainty
Stock remains under pressure until clarity
9️⃣ Bottom line (clear & honest)
The business is not broken
The balance sheet is not stressed
The promoter is credible and invested
Sales momentum is real
📉 The stock is falling because of legal fear, not fundamentals (MTF / SQUAREOFF / T2 MAY ALSO BE THE REASON )
