@BrentBeshore VC markets are not shut. Doom memos are relevant but also a way to throw off less savvy VC investors. Smart investors are writing big checks right now. And you can't go in and out of investing. You can't time the market.

After conversion you have preferred stock which almost always has some type of preference. SAFE notes exist to close deals quickly w/ little legal expenses.
