看完证监会这份 2026 年第 1 号公告，说实话有点震惊。
不是因为它又禁了什么，而是因为——它居然开了个口子。
这可能是今年 Web3 最重磅的监管消息，没有之一。

先解释下这份文件到底在说啥
官方名字叫《关于境内资产境外发行资产支持证券代币的监管指引》，听起来很绕口对吧？
翻译成人话就是：
你可以把中国境内的真实资产（比如商业地产的租金收益、供应链的应收账款、消费贷款等等），打包成一个资产池，然后用区块链技术在海外发行代币化的证券。

说白了就是：传统 ABS（资产支持证券）+ 区块链 = RWA
以前这事儿没人敢碰，因为不知道合不合规。现在证监会直接给了个框��，告诉你怎么做才是合法的。

重点来了：三个关键信息
1/ 备案制，不是审批制
这个差别太大了。
审批制 = 你得等领导点头，不知道等到猴年马月
备案制 = 你按要求提交材料，符合条件就能做
虽然备案也不是随便报个名就行，但门槛确实降了一大截。

2/ 负面清单很明确
文件直接列出了 6 种不能做的情况：
1⃣️法律禁止融资的资产（比如 P2P 那种）
2⃣️危害国家安全的
3⃣️有刑事犯罪记录的主体
4⃣️正在被调查的
5⃣️产权有纠纷的
6⃣️其他 ABS 负面清单里的
换句话说，只要你不踩这些红线，其他的都可以试。这个思路很开放。

3/ 多部门��合监管
这事儿不是证监会一家说了算，还得过外管局（跨境资金）、网信办（数据安全）这几关。

听起来麻烦，但其实是好事——说明这是个正规的、被认可的业务路径，不是灰色地带。

为什么说这是“开闸”？

过去几年，中国对虚拟货币的态度大家都知道——严打。
所以很多人以为 RWA 也会被一刀切。
但这次不一样。
监管层很清楚地把两件事分开了：

虚拟货币炒作 ❌（继续禁）
真实资产代币化 ✅（给通道）

这说明什么？技术本身没有原罪，关键看你用来干什么。

用区块链炒空气币 = 违法
用区块链提升资产流动性、降低融资成本 = 创新

这个态度的转变，意义重大。
对行业意味着什么？

我觉得有几个直接��响：
✅ 合规通道正式打开了
以前大家都在摸着石头过河，现在至少有条路可以走了。
✅ 万亿级市场要来了
中国有多少优质资产？商业地产、供应链金融、消费信贷……这些过去要么只能在境内流转（流动性差），要么通过复杂的离岸架构出海（成本高）。现在有了 RWA 这条路，想象空间太大了。
✅ 香港的位置更重要了
文件说的是“境外发行”，但没说具体在哪儿。结合香港最近对虚拟资产的开放态度，基本可以确定：
境内资产 + 香港平台 + 全球投资者 = 标准模式
✅ 传统金融机构要入场了
以前 RWA 主要是 Web3 原生团队在玩，现在有了明确的监管框架，银行、券商、信托这些传统玩家肯定会进来。
但也别高兴太早

这份文件只是个框架，实际落地还有很多坑：
❓ 跨境资金怎么出去、怎么回来、怎么结汇？外管局的细则还没出。
❓ 用什么链？公链还是联盟链？技术标准还没统一。
❓ 如果出现违约，投资者怎么跨境维权？法律机制还不完善。
❓ 多部门协调的效率如何？这个真的很考验执行力。

所以短期内不会突然爆发，但长期来看，这是个确定性的大方向。

接下来看什么？
我会重点关注三件事：
1/ 首批备案案例什么时候出现？
预计 Q2 会有“吃螃蟹”的项目。

到时候看看是什么类型的资产（我猜大概率是现金流稳定、产权清晰的），哪些机构在做（国企还是民企），在哪个市场发行（香港还是新加坡）。

这些首批案例会成为后来者的模板。

2/ 配套细则什么时候出？
外管局的跨境资金管理细则、税务总局的税收政策、网信办的数据出境指南……这些不出来，项目就没���真正落地。

3/ 香港和内地怎么协同？
两地监管怎么对接？会不会有互认机制？信息怎么共享？
这个协同做好了，效率会高很多。
这份文件的意义，不只是“允许做 RWA”这么简单。

它代表的是一种监管哲学的转变：

不是一刀切禁止，也不是完全放开，而是在严格监管的前提下，给创新留出空间。

这种“有序创新、风险可控、服务实体”的思路，可能会成为全球 RWA 监管的一个新范式。

2026 年，可能会被记住——这一年，中国正式开启了资产代币化的合规时代。真正的RWA春天可能来了！

而这份证监会 1 号公告，就是这个时代的开篇。

对 Web3 从业者来说，现在是时候认真研究这份文件，思考怎么布局了。

因为当潮水退去，只有那些穿着合规“泳裤”的人，才能在沙滩上自由奔跑。
