As a Corporate Lawyer, I know Ezra is in trouble.

First, some context.

Ezra is a co-founder of Paystack. That is true. But after Paystack’s 200 Million USD acquisition by Stripe, everything changed.

Acquisition means ownership shifts, and whatever board control Ezra once had becomes diluted or even non-existent. Ie status as a Co-founder does not automatically equal board control.

Yes, under the Sale terms, Paystack continued to operate independently and its management team remained. That is why Ezra stayed on as CTO.

Independence, however, does not override investor protections. It simply means Stripe allowed Paystack run on its own systems while still reserving the right to enforce its standards when necessary.

Now the foreign investor angle is the real story here.

Stripe is a global company with strict ethical expectations and a public image they protect aggressively. They cannot be associated with allegations of paedophilia, sexual exploitation or anything that even smells like it. Their markets do not forgive reputational stains, and their regulators are even harsher than ours.

This is where the morality clause comes in.

I am certain, even without seeing the sale documents, that his agreement contains one. A morality clause allows investors to terminate a relationship or take action when a founder’s behaviour becomes immoral, scandalous or damaging to the company’s reputation.

Stripe would never keep a founder after allegations of this nature. It is simply impossible. Their brand and compliance culture would not allow it.
