In 1602, the Dutch East India Company, history's first startup to sell its shares to the public, opened a subscription book in Amsterdam. Anyone could walk in and buy a piece. A housemaid named Neeltgen Cornelis put in months of her wages. Her name is still in the ledger, 424 years later.
In 2026, you can't buy one share of OpenAI. Not because you can't afford it. Because of the accredited investor rule: to own shares in private companies in the US, you need roughly $200K in annual income or $1M in net worth.
Notice what the rule measures. Not what you know. What you have.
It gets better. Inherit a million dollars tomorrow and, in the eyes of the law, you're instantly sophisticated enough to invest in anything. Meanwhile, for decades, the licensed financial advisor managing that money, exams passed, markets studied, career spent doing this, didn't qualify unless they were personally rich. The government only fixed that in 2020. It took until 2020 to decide that a financial professional might understand finance.
And here's the part I really can't get past. You ARE allowed to buy options that expire worthless by Friday. You ARE allowed to bet on OpenAI's valuation on a prediction market. You ARE allowed to buy a fund holding OpenAI shares picked by a manager you'll never meet. The bet, the gamble, the wager on the company: all legal. The equity itself: forbidden.
Betting on the horse: fine. Buying the horse: dangerous.
With all respect to the people who wrote it, that might be the politest gatekeeping ever invented. It's called investor protection, and the test is a bank balance.
So, honest question: redesign the rule from scratch. What should the test be? Wealth? Knowledge? A signature saying "I understand I can lose this"? Nothing?
