The U.S. Senate today declined to advance the Digital Asset Market Clarity Act. The vote was 49–50 on a motion to proceed. Sixty votes were required to open debate. The House had already passed the bill. Comprehensive U.S. market-structure legislation is unlikely to become law in 2026.

We are writing to you directly about what that means, and what we will do.

Clarity would have given digital-asset markets a statutory map: how tokens are classified, and which federal regulator owns them. That map is not available.

Issuers who delayed a raise until Congress acted now face the same capital need and a longer wait. Existing U.S. securities law, agency guidance, and enforcement still apply. They did not disappear with the vote.

Tokenization of real-world assets does not depend on that statute. Title, cash flow, contract rights, membership, inventory, and private-market equity already exist. Those rights can be represented on-chain under the legal regimes that are already in force. The European Union already operates under MiCA. Verified, transfer-restricted issuance already works.

A building, a loan book, a fund interest, or a club utility product does not require a new act of Congress in order to be issued with documented rights.

That is RWA Inc’s work. We will not ask clients to wait for a new Congress. We will classify the instrument before it is sold.

A utility token will be a utility token. A security will be a security. We will not combine them in a single product designed for a headline. U.S. and non-U.S. distribution will be kept separate.

Where a private placement is the correct path, we will use it. Where an EU or other functioning framework is the correct path, we will use that.

The RWA INC ecosystem remains the same: onboarding and KYC, token design, compliant issuance, launchpad and investor platform access for verified investors, and secondary transfer only where the rail and the jurisdiction allow it. $RWAINC is the access and fee token inside that process.

It is not a bet on U.S. legislation.

If you postponed an offering until Clarity passed, the offering should be re-underwritten now. We will tell you what can be issued, to whom it can be sold, and on what timetable. Sports, private credit, real estate, and operating companies that need community or institutional capital this year are the immediate pipeline.

The constraint is structuring and distribution, not a Senate calendar.

The vote in Washington was a delay for market-structure politics.

It is a mandate for operators who can already close.
