Finally, I’ve been a shareholder for over 2 years and have lost more than 95% of my investment. Yet I still support you and $GPUS. I sincerely hope the data center story is real—not another stock scam—and that GPUS can become the next IREN. I truly want to see that happen.

1/6 Todd, a serious question for $GPUS shareholders. Your disclosed GPUS compensation: $1,566,896. Ault & Co., which you control, holds Series C/G/H preferred shares with annual cumulative dividends of $4.75M + $91.2K + $380K. Combined: ~$6.788M/year.
6/6 Ault & Co. did invest ~$54.96M for the C/G/H preferred shares, so this was not free money. But then why is GPUS lending millions BACK to Ault & Co. while GPUS itself still requires external financing? Please explain the economics to common shareholders.
5/6 I am not alleging illegality. I am asking you to explain the pattern: GPUS raises capital and issues stock → related entities receive financing → you or entities you control receive compensation/dividends → common shareholders absorb repeated dilution.
4/6 This is not unprecedented. GPUS previously financed AVLP and later converted an AVLP note into ~90.2% ownership. During that relationship, AVLP paid you $100K/year. AVLP filed Chapter 7 in March 2025. What was the ultimate return to GPUS shareholders?
3/6 Then there is Alzamend. GPUS subsidiary Ault Lending committed up to $25M, with $7.5M funded initially. Alzamend also disclosed $102,685 of FY2026 director compensation to you: $25K cash + $77,685 in option awards. How do you address this conflict concern?
@ToddAultIII 2/6 At the same time, GPUS subsidiary Ault Capital Group has lent Ault & Co. $7M, under a facility of up to $15M. SEC filings say proceeds may repay Ault & Co. debt, redeem preferred equity, or fund working capital. Why should GPUS finance a company you control?

@ToddAultIII You dismissed everyone asking about the ATM and the Sept. 21 data center launch as “haters.” Now it’s delayed by two months. When the RS restriction expires in November, will you call a board meeting and push through another reverse split?
