Three provisions every SACCO director should read. S.435 Insolvency Act: personal liability for wrongful trading. If the board knows the SACCO has KUSCCO exposure and takes no step, directors are personally liable. S.29 Co-operative Societies Act: one-third of members can requisition an SGM. S.81(4): the Parental Responsibility Agreement is a living document. Add a clause: share photos and videos of milestones. When one pays fees and the other holds the camera, the pictures are not a favour. They are part of the contract.

WHO RECRUITS THE POLICE? NPSC v KANJA. OCTOBER 16.

DN today. NPSC v Inspector General Kanja at Court of Appeal. Article 246(3): NPSC recruits, appoints, promotes, disciplines. Article 245: IG has independent command. NPSC submitted: the Constitution does not create empty institutions. It vests powers and expects their effective exercise. Ruling October 16.

If operational managers in your company believe they control hiring but HR sits elsewhere, this framework applies. Power is exercised where vested, not where convenient.

S.51 Employment Act: summary dismissal for wilful misrepresentation.

S.44(4)(a): employment by fraud is gross misconduct. If a university can disown an MP's degree, verify your staff files. The ELRC will not accept 'we assumed.' For the accused: S.43(2) burden on employer. S.41 hearing required. Even fraud needs process.

Counties have 6,585 secret bank accounts. 3,000 added without authorization. Controller of Budget flagged. If counties cannot count their accounts, where did your LPO payment go? Proverbs 14:5. A faithful witness will not lie.

Senior, I now understand the timing. But perhaps we were not loud enough about Justice Mugambi’s preservation orders of 25th March 2026 covering all KUSCCO subsidiaries. They were gazetted, served on the Commissioner, CS and PS, and reported in Business Daily.

Yet the liquidation meeting proceeded. We only discovered KEFESCO through journalists calling us about the very orders already served on everyone concerned.

Then came the “shock” at the stay.

One small mystery remains though. When exactly did liquidation by Commissioner talk begin? The orders have been there since March. Perhaps they were preserved too well. Everyone seems to have forgotten they existed, the Affidavit of service say otherwise.

SENIOR AYIRO CHAHILU IS RIGHT ABOUT KEFESCO. HE IS ALSO CATASTROPHICALLY WRONG.

Financial Standard today. Advocate Chahilu writes that the SACCO movement needs KEFESCO. He is right: a federation is needed, clear separation from KUSCCO is essential, shared services make sense, international comparisons are valid.

He is catastrophically wrong. He opens with 'the liquidation of KUSCCO.' Which liquidation? The High Court stayed the gazettement. There is no liquidation. The Court must first determine jurisdiction. Section 65(3) requires an insolvency practitioner. None of the three qualifies. To speak of a liquidation as underway is to presume a ruling not yet delivered.

KEFESCO is KUSCCO with a new sign. The looting was meticulous. Five subsidiaries. KES 6.27 billion intercompany loans. You do not rename a crime scene and call it a fresh start. The Conflict of Interest Act 2025 came into force in August 2025, the same faces cannot sit on the new board.
