Yes, but in entire optics here is the rough numbers this was posted few days ago.
Scot Cohen was granted 4 million restricted shares, divided into four 1-million-share tranches. Each tranche requires WRAP’s market capitalization to meet or exceed the hurdle for every trading day for 45 consecutive trading days.
Using the current ~61.78 million shares outstanding, the approximate stock prices corresponding to those restricted market caps

$ 337.5M $ 5.46
506.25M. $8.20
This is the really interesting part
At approximately $1.67, WRAP is only around $103M market cap.
So Cohen’s first million shares don’t vest until WRAP gets to roughly $2.43 and stays at or above the corresponding $150M market cap for 45 consecutive trading days.
That’s roughly nine weeks of trading at each level—not merely touching the price once. The actual SEC language says the market cap must meet/exceed the threshold “for each trading day during 45 consecutive trading days.”
And there’s another important wrinkle
The filing says 1.6 million of the 4 million shares become null and void/forfeitable if shareholder approval isn’t obtained by March 15, 2027 for increasing the shares reserved under the 2017 Equity Compensation Plan
So Cohen essentially has 4 million shares tied to an extremely substantial appreciation in WRAP’s valuation, rather than getting 4 million unrestricted shares immediately.
And the final hurdle — $506.25M market cap — is particularly notable. At today’s share count, that’s roughly $8.20/share.
In other words, Cohen doesn’t get the full 4M shares unless WRAP becomes roughly a half-billion-dollar company and maintains that valuation for 45 straight trading days.
That is a very different incentive structure from ordinary executive stock compensation.

All 6,000,000 shares remain subject to market-cap milestones, but the grants effectively emptied the employee equity pool; Cohen may now have to ask shareholders to refill it so 2.4 million already-granted shares survive.

This is a smart move. WRAP is no longer just selling a device — it’s selling a system: doctrine, training, certification, and the BolaWrap 150 together. That’s easier for agencies to buy, and it opens the door to recurring revenue through Wrap Tactics, refresher training, and cassette use. California POST is the proof point. If it works there, they have a model they can scale nationally.
