Imagine if a Delaware judge had ruled that the L.A. Lakers don’t owe Lebron James anything under the record contract they agreed to pay him because:

A) some of the Laker organization’s decision-makers are friends and relatives of the founder and
B) Lebron was rich enough already and stood to gain from endorsements and merchandise sales

That’s essentially the situation here, with perhaps the biggest difference being that the Lakers have been paying Lebron, so there would actually be money to try to clawback from Lebron; Tesla has not paid Elon any compensation in 6+ years (not even minimum wage).

“What’s the CEO compensation Tesla has been reporting in all the 10-Q’s?” I hear you asking. That’s just the GAAP accounting treatment for $2.283B of non-cash stock compensation, a Black-Scholes model projection of the value of the 2018 plan at its inception. Elon never received any of that money.

He agreed to work for nothing except the chance to buy a lot more stock in the future at the same price anybody could have bought it in March 2018. The board agreed. The shareholders agreed. He did the work. And then a Delaware judge 🪄 voided the contract.

What's ironic in all this is that this 2018 compensation package was approved by 73% of $TSLA shareholders at the time.

This package also couldn't be gamed by @elonmusk. He had to hit extremely difficult market cap and revenue milestones. And then if he did hit those tough targets, he couldn't sell the shares from the package for 5 years once exercised. Elon only did well if shareholders did well. The incentives were well aligned. Tesla stock is up 10x since the 2018 compensation package was announced, and revenue up 9x.
