A value protection mechanism for existing FFR (formerly AIXC) stockholders:
FFR proposes to acquire FFAI's robotics business through a stock-for-stock transaction.
To help preserve the economic value of existing FFR stockholders, the parties proposed a stockholder value protection mechanism.
If the final transaction price established at the signing of the definitive agreement is below $2.246 per share, FFR intends to issue additional shares to eligible existing stockholders so that they receive substantially the same economic value as if the transaction had been priced at $2.246 per share.
Who is eligible?
The additional shares, if any, will be distributed to stockholders of record as of a record date to be announced prior to the closing of the transaction.
Eligibility will be based solely on share ownership as of the applicable record date, regardless of when the shares were originally acquired.
How are the additional shares calculated?
Additional Shares Per Share Held = ($2.246 − Transaction Price) ÷ Transaction Price

AIxC has signed a non-binding term sheet for a proposed approximately $200 million all-stock acquisition of FFAI’s robotics business, aiming to create the first U.S. Nasdaq-listed pure-play robotics ecosystem company.
Effective September 30, AIxC will become FF EAI Robotics Ecosystem Inc., trading under the ticker FFR and discontinuing its crypto strategy.
