HENRY SSUBI JOINS JOADAH DESIGN INSTITUTE
This Thursday we had the online Orientation of students joining for MEP Design, Structural Design and Graphics Design. We received students from 14 African Countries.
One notable student was Ssubi Henry.
5 years ago God led me to support Ssubi to Join Mechanical Engineering In Makerere University. He completed with a first class degree and got a Job.
Now Ssubi Henry is supporting me. He is fully sponsoring himself for the MEP Design Course at JDI.
Indeed the word says, Give, and it will be given to you. A good measure, pressed down, shaken together and running over, will be poured into your lap. For with the measure you use, it will be measured to you.
My heart feels grateful and fulfilled!!
I plan to plant over 600 acres of coffee in the next 5 yrs. I contacted our agricultural officers in Kayunga for seedlings to cover 50 acres. Over 3 months, I haven't received a single seedling. The season is gone!

Folks & friends with reasonably big chunks of land & still figuring out what a highly rewarding enterprise to use it for-- Do Coffee...
Over the weekend, I had breakfast meeting with one of our serious ranchers Mr Barnabas Taremwa, who after many years of procrastination finally chose robusta coffee & planted acrop of 300 acres in Ibanda 4 years ago. Despite many challenges he is facing in the value chain development ( and which challenges are mitigatable just like in any other business), his story is exciting. The numbers are good.
Honestly, If most people with iddle land can use some portion of it to plant coffee, we can easily hit our 20m bags for export. I can't wait to open up my 50 acres for robusta next year!
Fortunately, the big part of Uganda's ecological zones tolerate coffee. Coffee can do well almost in the entire western part of Uganda, Do well in West Nile region, in Eastern and central regions as well as in Acholi & Lango.
Quite often there is more talk & emphasis on value addition which is ok & the way to go. But we must also crusade & make clarion calls for more increased production both horizontally & vertically.

WHEN I SOLD OUR HOUSE
In 2007, at the age of 27, my spouse and I made the decision to establish our residence in the scenic locality of Entebbe. However, five years into the establishment of Joadah Consult, our entrepreneurial venture, we encountered a financial hurdle in sustaining the company.
Despite being endowed with two valuable assets—our residential property and the land upon which our office building now stands—we found ourselves confronted with the pressing need to infuse much-needed capital into the business. The prospect of liquidating our home emerged as the most viable solution, as the option of compromising the land housing our offices was non-negotiable.
One evening, I approached my wife and presented a compelling case for selling our cherished home. I emphasized that this strategic move would not only alleviate our immediate financial strain but also position us to secure lucrative business deals. Persuaded by the potential benefits, she agreed, and remarkably, within a week, we identified a buyer and concluded the sale, relinquishing our status as homeowners. Subsequently, we transitioned to a rented accommodation.
This episode underscores a fundamental principle in the world of business—the importance of acquiring assets that can serve as financial buffers during lean periods. Invariably, every business encounters downturns or "low seasons," and having robust assets becomes a crucial factor in weathering such challenges.
The experience also imparts a valuable lesson—entrepreneurs should not hesitate to strategically divest assets to inject much-needed capital into their ventures. This calculated approach to recapitalization can be instrumental in steering a business through financial uncertainties and fostering its long-term growth.
Today is International Coffee Day, and what better way to celebrate than learning how its culture has created communities thousands of miles from where it originated, Ethiopia.

As a tax advisor, almost all my consultations with entrepreneurs often evolve into discussions centred around governance. And I think this intricate relationship between taxation and governance is a fundamental aspect of business which every entrepreneur needs to grasp. One crucial aspect where this interaction comes to the forefront is in the treatment of business drawings. In this post, I'll delve into the nuanced connection between governance and taxation using the example of drawing business funds for personal use, and how to go about it with least adverse implications.
The Importance of proper characterization of business drawings:
Imagine a scenario where a business owner draws a substantial sum of money from their company to purchase a personal asset, such as a home or a vehicle. This seemingly straightforward transaction involves a cascade of considerations regarding its tax treatment and so to avoid potential tax pitfalls, it's imperative to correctly characterize the drawing. The choice is between three possible characterization heads, each carrying different tax implications.
Shareholder dividend:
Characterizing the drawing as a shareholder dividend involves distributing profits to the business owner(s) in proportion to their ownership stake. While this might seem like a direct way to access funds, it requires adherence to specific procedures. Dividends are paid out of retained earnings and not capital and so there it must be ascertained that the business can afford to declare one, proper legal steps followed in its declaration, accounting entries made and withholding obligations met to avoid potential future tax problems both to the company and the payee shareholders.
Loan to Shareholder/Director:
Treating the drawing as a loan to the shareholder or director necessitates documenting the transaction as an arms-length transaction. This approach is akin to borrowing funds from the business, creating a debt owed to the company. This route demands formal agreements, repayment schedules, and realistic interest rates. If not executed correctly, it could raise questions from tax authorities and lead to loss of the interest expense deduction.
Remuneration package:
Characterizing the drawing as part of a remuneration package for the business owner in their capacity as an officer or employee is a common practice(directors’ salaries). In this scenario, the funds withdrawn are treated as salary or compensation for services rendered to the company. While this approach simplifies the transaction, it necessitates adherence to employment tax regulations, including payroll withholding obligations. Failure to adhere to the obligations renders the expense disallowable thereby creating tax problems.
The Intersection of Governance and Taxation:
The significance of accurately characterizing business drawings lies in its direct impact on governance and taxation. For business owners who fail to appreciate this relationship, problems will arise and it’s not a question of if but when. Governance enters the equation as proper documentation and adherence to corporate protocols play a pivotal role. Transparent accounting practices, clearly defined roles in the governance structure, and well-documented transactions are not just good business practices but also vital components to ensure proper tax compliance.
Conclusion:
The commercial decisions which inform the characterization of these drawings reverberate through an entrepreneur's business journey and will either make or break the business. Proper characterization of drawings, proper documentation, and adherence to the rules of corporate governance are non-negotiable elements for successful tax management.
