The SEC just released a proposal on March 16, 2026 (press release 2026-28) to amend Exchange Act Rule 15c2-11, which requires broker-dealers to gather, review, and maintain certain information before publishing quotations (i.e., bid/ask prices) for securities in the over-the-counter (OTC) market.

The rule's main goal has historically been to curb fraud and manipulation, especially in thinly traded or low-info OTC equities.

Key Change in the Proposal

The amendments would explicitly limit the rule's application to equity securities only (e.g., stocks and similar ownership-based instruments traded OTC). This clarifies and narrows the scope, as there's been ongoing confusion and debate—particularly since the 2020 amendments—about whether it applied to non-equity assets like fixed-income securities (bonds, etc.).No direct mention of crypto in the press release itself.
However, the proposal affirms that regulations should be "tailored to fit the asset class," and the shift excludes non-equity categories by design.

How This Affects Crypto

Minimal to neutral short-term impact, but positive for clarity and reduced burden:

Crypto assets (like Bitcoin, Solana, SUI, Ethereum, most tokens) are generally not classified as "equity securities" under U.S. law—they are treated as commodities (CFTC turf for many spot markets), payment instruments, or other non-equity types. Even tokenized securities (which represent underlying equities) would likely fall under equity rules only if they qualify as such.

By narrowing Rule 15c2-11 to equities, the proposal effectively excludes most crypto from these specific OTC quotation requirements. Broker-dealers won't face the same info-review hurdles when quoting crypto in OTC contexts (e.g., on certain platforms or dealer networks handling crypto pairs or tokenized assets that aren't equities).

This aligns with the broader 2026 regulatory shift toward a more crypto-friendly environment (e.g., under Chairman Paul Atkins' emphasis on tailored rules, innovation exemptions, and reduced enforcement aggression).
