This was key for me way back when when sixth street had the right to create acquisition vehicles and the court approved Transition service agreements for the going concern and continuation of business (nols)

A Service Transition Agreement (more commonly called a Transition Services Agreement or TSA) is specifically used in mergers, acquisitions, carve-outs, or business sales to ensure operational continuity. The seller continues providing essential services (IT, HR, accounting, operations, etc.) to the buyer for a limited period after closing so the business can keep running without disruption while the buyer builds its own standalone capabilities.
