Don't register a company with a 50:50 shareholding structure. If you do, make sure you have a shareholders' agreement that clearly outlines what will happen in the event of a dispute.

Include a shotgun clause that states:

"In case of a major dispute, I'll buy your shares at Ksh. X per share, but if you don't want to sell, then you must buy my shares at the same price."

A company without a shareholders' agreement will eventually fall when a dispute arises between shareholders.Don't register a company in a cyber cafe.
