Serving as Lead Counsel, Labaton Keller Sucharow secured a $210 million settlement to resolve a securities fraud class action against The Estée Lauder Companies Inc. and certain executives.
The suit arises from claims that Estée Lauder, the global leader in luxury cosmetics and skincare, misled investors by touting strong revenue growth while concealing the company’s heavy reliance on grey-market sales channels like “daigou,” a practice where resellers purchase luxury goods at reduced, duty-free prices and resell them to end-consumers below retail price. After a regulatory crackdown on resellers, Estée Lauder’s sales took a significant hit and inventories piled up, forcing the company into steep discounts that crushed their revenues and profit margins.
The Firm overcame several hurdles in the prosecution of this matter, notably overcoming Defendants’ motion to dismiss in March 2026. Pending final court approval, the $210 settlement is one of the largest securities recoveries of the year.

Partner Francis P. McConville spoke with @CFOBrew about the SEC’s recent proposal to allow public companies to file reports semiannually rather than quarterly, upending a reporting framework that has been in place since 1970.
Cautioning against less frequent reporting, Francis notes that companies should consider important nonfinancial implications, including the possibility that semiannual reporting could be viewed as “potentially signaling something to the market,” and serving as a “red flag.”
Francis further emphasizes that disclosing less information throughout the fiscal year could lead to “much more volatile trading” when companies do report. “If the information is negative,” he said, “I think the stock drops and the damages, as we would see it from a potential litigation standpoint, will be much larger.”

As Generative AI (GenAI) becomes increasingly integrated into document collection and courts have yet to weigh in on its use, Partner Michael H. Rogers and Associates Stephen C. Boscolo and Grace Harmon advocate for the application of existing validation and transparency requirements governing Technology Assisted Review (TAR) in their article “TAR and Feather Them: How Principles of TAR Can Influence Use of GenAI” published by @NYLawJournal.
To help ensure that GenAI tools capture a critical mass of responsive and relevant documents, the authors identify two key TAR guardrails that should be applied to GenAI review: results validation, which requires disclosure of metrics demonstrating that TAR successfully collected a critical mass of responsive and relevant documents, and seed set transparency, which requires disclosure regarding how a TAR model was trained.
Anticipating a future where GenAI “is likely to become a staple of document review,” the authors conclude that the “goal of an opposing party should be to ensure that such a review captures all responsive and relevant documents.”

Partner Michael P. Canty spoke with @TheNLJ about the Securities and Exchange Commission’s recent, proposal to allow public companies to opt out of quarterly reporting in favor of semiannual reporting. The proposal would mark a significant shift for the SEC, which has required quarterly reports from public companies since 1970.
Michael noted that in today’s information age, where investors receive information “in all shapes and sizes,” “they want to hear from the company more.”
He also cautioned that semiannual reporting could increase market volatility, as investors may overreact to information disclosed months after an issue first arises. “If you're shooting at a target and you stand at five meters and you miss by three degrees, you're off by a little bit. But if you stand at 100 feet and you shoot at a target and you're off by three degrees . . . it's such a bigger miss.”
