I have seen a lot of people talking about buying the shares, but I kept wondering how many actually understand what they are buying.
So I went through the IPO information and pulled together the numbers, valuation questions, application process, allotment, risks and what happens after listing.

Dangote Petroleum Refinery and Petrochemicals FZE is going public through an Initial Public Offering, or IPO.
The company is offering 4.1 billion ordinary shares to eligible investors at โฆ525 per share.
The minimum application is 10 shares, which means you can apply with โฆ5,250.
The offer opens September 14, 2026 and closes October 13, 2026.
At the offer price, the shares being offered are worth approximately โฆ2.15 trillion.
That is the basic information.
But there is a lot more to understand before deciding whether you want to put your money into it.
Because knowing how much a share costs is different from understanding what you are paying for.
When you subscribe to the IPO and receive an allocation, you become a shareholder in Dangote Petroleum Refinery and Petrochemicals FZE.
You own a portion of the company.
You are not buying a fixed return.
You are not guaranteed a dividend.
You are not guaranteed that the share price will rise after listing.
You are buying equity in a business.
If the business performs well and investors value it more highly, the shares can appreciate.
If the business performs poorly or the market assigns it a lower valuation, the shares can fall.
Dangote's official IPO information also makes clear that dividends are not guaranteed and investors can lose some or all of their investment.

This is probably where most of the conversation will start.
525 per share.
The minimum application of โฆ5,250 makes the offer accessible to a much wider group of investors.
But I would be careful about looking at โฆ525 and concluding that the shares are cheap.
A share price on its own tells you very little.
Imagine 2 companies.
One has 100 million shares trading at โฆ500.
Another has 10 billion shares trading at โฆ100.
The second company's individual shares are cheaper, but the company itself could be worth far more.
What matters is the value of the entire company and how that valuation compares with its earnings, assets, cash flows, growth prospects and risks.
So when you look at Dangote Refinery's โฆ525 offer price, the question should not simply be:
โCan I afford 10 shares?โ
The better question is:
โWhat valuation am I accepting when I pay โฆ525 for one share?โ
That is where the analysis starts getting useful.
The company is offering 4.1 billion shares at โฆ525 each, raising approximately โฆ2.15 trillion.
A significant part of the investment case revolves around what the company plans to do with capital as it expands.
The refinery currently has capacity of around 700,000 barrels per day.
The company plans to increase that to approximately 1.4 million barrels per day by 2029.
Reuters reports that the expansion is expected to require about $14.3 billion.
Reuters
https://t.co/W01lwrjmLE
So you are looking at a company that is already operating at significant scale while pursuing an even larger expansion.
That means investors have to think about 2 things at the same time:
What the company is earning today.
And what the company can realistically earn if that expansion is executed successfully.
The second question involves assumptions.
According to Reuters, Dangote Refinery recorded $1.82 billion in profit after tax during the first half of 2026.
For context, the refinery recorded a $476 million loss for the whole of 2025.
That is a significant change in financial performance.
But I would not look at those numbers and assume that the first half of 2026 automatically represents the company's long term earnings power.
The period matters.
Refining margins matter.
Crude prices matter.
Product prices matter.
Capacity utilisation matters.
Operating costs matter.
And the expansion requires substantial capital.
So the question is not simply:
โHow much profit did Dangote Refinery make?โ
It is:
โHow sustainable are those earnings, and what am I paying for them?โ
That is a much better starting point for thinking about valuation.
Dangote Refinery is a major industrial asset.
Its operations touch areas such as refining, fuel supply and petrochemicals.
The scale of the business also means its performance can have wider implications for Nigeria's energy market.
But there is an important distinction investors should keep in mind.
A company's strategic importance does not automatically make its shares cheap.
A business can be strategically important and still be overpriced.
A strong company can also become a poor investment if investors pay too much for it.
That is why the valuation deserves as much attention as the refinery itself.
This is something first time IPO investors may encounter.
The fact that you apply for shares does not mean you will receive everything you requested.
There are 4.1 billion shares in the offer.
If applications exceed the shares available, allocations have to be made according to the applicable allotment process.
There is also provision for the company to increase the offer by up to 30%, subject to regulatory approval, if demand is strong.
Even then, an oversubscribed offer can result in investors receiving fewer shares than they applied for.
So if you apply for 1,000 shares, don't immediately calculate your potential return using 1,000 shares.
You first need to know how many shares you actually receive.
This is where I would be especially careful.
The official Dangote IPO website has published the approved receiving agents and electronic application channels.
You can find the current list here:
https://t.co/1RdRfqjeO3
Use the official list.
If someone contacts you privately claiming they can secure an allocation for you, verify them against the published channels before doing anything.
And never hand over your:
PIN
Password
OTP
The official IPO website specifically warns investors about this.
Also be very careful about transferring money into personal accounts.
If the person or channel is not officially approved, don't assume they are legitimate because they have a convincing screenshot or claim to be connected to the offer.

The offer closes on October 13.
Applications are then processed and shares are allotted.
If you receive an allocation, you become a shareholder.
Once the shares are listed on the Nigerian Exchange, you can sell through a stockbroker.
This is where the IPO price and the market price become 2 different things.
You paid โฆ525 during the offer.
The market does not have to value the shares at โฆ525 after listing.
The shares could trade above that price.
They could trade below it.
There is no guaranteed first day return.
There is no guaranteed dividend.
There is no guaranteed price target.
The market determines the price once trading begins.
This is worth mentioning because some investors naturally associate a large company with regular dividend payments.
The official IPO information makes it clear that dividends are not guaranteed.
Dividend decisions depend on factors including profitability, cash flow, capital requirements and the board's decision.
And considering the company's expansion plans, capital allocation will be something worth watching.
A company can make significant profits and still retain a substantial portion of those earnings to fund growth.
So if your entire investment thesis is:
โDangote will pay me dividends.โ
That conclusion is not supported by the IPO terms.
1.4 million barrels per day.
That is the targeted capacity after the planned expansion.
The current capacity is around 700,000 barrels per day.
So investors are being asked to consider a business that could become considerably larger.
But larger capacity does not automatically translate into proportionally higher profits.
The economics of that additional capacity matter.
How much will it cost?
What margins will the refinery earn?
How efficiently will it operate?
What will crude cost?
What will refined products sell for?
How much working capital will be required?
How will the remaining expansion be financed?
These are the questions I would continue watching long after the IPO headlines disappear.
This is an equity investment.
The official IPO materials make that clear.
The share price can fall.
The business can face operational problems.
Expansion can cost more than expected.
Market conditions can change.
Refining margins can compress.
Currency movements can affect the economics.
And investors can lose money.
None of this automatically makes the IPO unattractive.
It simply means the investment deserves the same level of scrutiny you would give any other company before buying its shares.
This may be the easiest trap with a high profile IPO.
You see someone announcing that they are applying for โฆ500,000.
Someone else is applying for โฆ5 million.
Another person is predicting where the shares will trade after listing.
Then you start feeling like you should also get in.
But none of those posts tells you whether the valuation makes sense.
Before you apply, you should know what you are buying, why you want it and what could make the investment go wrong.
I don't think the first question should be:
โHow much do I need to get Dangote shares?โ
We already know that.
5,250 gets you to the minimum application.
The better questions are:
What valuation am I buying at โฆ525?
How sustainable are the company's earnings?
What will the expansion cost?
What additional capacity can it create?
What happens if the IPO is oversubscribed?
What risks am I taking?
And why do I want to own the company after it lists?
Those questions will tell you far more than the minimum subscription amount.
Take your time.
Read the official information.
Use an approved channel.
Understand that your application may not be fully allotted.
Understand that the share price can fall.
Understand that dividends are not guaranteed.
And understand that you are buying a piece of a business.
The Dangote Refinery is a huge business with an equally large expansion ambition.
The IPO gives investors an opportunity to participate in its ownership.
Whether โฆ525 represents an attractive entry point is a separate question.
That is the part I think investors should spend their time working out.
