@SMB_Attorney You guys crack me up on this. must not do much in states where COJ is enforceable? Don’t get me wrong, time and a place for them but they work AFTER a buyer default And I would tell clients, if buyer doesn’t want one in Ohio go find a commercial bank that will agree to the terms
@nathan_e_hill Was the lawyer involved in negotiating the LOI? If so, that’s a crime. If not, I see why counsel will ignore LOI at times. If they negotiated LOI they would have picked the fight then, but they were left out of the process by fault of their client or otherwise. Still frustrating

@elialbrecht If an M&A lawyer is on a flat fee what is their incentive to spend the time necessary to best protect their client? I hate the billable hour but let's not pretend everyone using it is just out to kill deals/drive up billables. Lots of great deals lawyers billing by the hour.

@SBA_Matthias I had a mentor explain to me principle vs. preference in negotiating deal docs. Principle is right/wrong/necessary to protect client. Preference, is how most lawyers mark up documents and it just reflects how they like it without a material difference in outcome!
@MelissaReidTV It's unfortunate the other council members couldn't follow the same logic. No one is against doing all we can to stop COVID. But there are laws that are a foundation to this country meant to protect the privacy of one's home for a reason.
