Nine bodies, nine jobs. Which of them applies to your business?
CAC, the tax authorities, the data protection commission, ARCON, PenCom, SON, NAFDAC, SCUML and your state and local government each look after a different part of your business.
Not all of them apply to everyone, but every founder should know which do.
Save this post and check your list. How many apply to you?
Tell us the number below.

Before your advert goes live, has it been vetted?
In Nigeria, ARCON, the Advertising Regulatory Council of Nigeria, expects adverts to be approved before they run. That covers more than billboards and television. Anything that promotes a product or service is advertising, and that includes paid influencer posts, which are still your advert.
If you skip approval, the advert can be pulled and the business can be penalized, and the money you spent on the campaign is gone.

What counts as a small company in Nigeria? Here is the answer in under 90 seconds.
Under CAMA 2020, a company can qualify as small when its yearly turnover is not more than ₦120 million and its net assets are not more than ₦60 million. There are other conditions too, so check that you meet all of them. A small company may qualify for simpler financial reporting and may be exempt from a full audit.
Being small does not mean being exempt from filing. You still file your annual returns with CAC.
Got a question about your business? Drop it in the comments and we will answer it next Friday. Try Oduko R at https://t.co/QibTD4nGy3 and keep your compliance in one place.

Wearing every hat is exactly right at the early stage, and exactly what slows a business down once it starts to scale.
This video puts both operating styles side by side, the light spreadsheet and the notes app against the dashboard and the reporting line, so you can see the shift honestly rather than guess at when to make it.
Oduko R keeps the compliance side steady through that transition, at whichever stage your business sits today.

Registering your company does not automatically absorb every contract you signed before that date, ratification has to happen formally, in writing, or the person who signed stays personally bound to it.
This video breaks down Section 96 of CAMA 2020 plainly, what ratification actually requires, and what stays on you personally until it's done properly.
Oduko R helps founders get this step handled the moment incorporation goes through.

Exporting a product out of Nigeria adds requirements most local only manufacturers never deal with.
This video covers CAC registration at a one million naira minimum share capital, NAFDAC export certification, the step that actually clears a product to leave the country, and SON quality certification, alongside export promotion sign off depending on the product.

One founder learns risk by taking it, with no playbook to fall back on.
The other learns it by watching it happen to someone else first, carrying process and precedent into their first real decision.
Neither background guarantees the better outcome, but each one shapes how a founder actually moves under pressure.
This video lets both perspectives speak for themselves.
Oduko R supports either path with the same compliance foundation underneath it.

A registered address sounds like a formality, right up until a court sends legal papers to an address a company left years ago and enters a judgment nobody ever saw coming.
This video ties back to a real case Oduko R has covered, and makes the point plainly, the CAC treats an address change as formal corporate action for a reason.
Oduko R helps founders keep this exact detail current.

One hundred thousand naira is the default minimum share capital for a private company in Nigeria, but that number moves fast depending on your industry, and one detail almost nobody expects, adding a foreign partner, can push it straight to one hundred million naira under CAMA 2020.
This video breaks down the general baseline, when regulators raise it for specialized industries, and exactly why a foreign co-founder changes the number entirely.
Oduko R helps founders figure out their actual share capital requirement before registration, not after.

Staying local keeps a business simple, one entity, one jurisdiction, one set of rules a founder eventually knows by heart.
Expanding abroad trades that simplicity for a layered structure, new requirements in every market, and trust that has to be rebuilt from scratch each time.
This video lets both founders explain their reality honestly. Wherever your business is headed, Oduko R keeps the structure behind it sound.

A CAC certificate registers your company name, it does not lock down your logo, your slogan, or anyone copying your brand, and this is one of the most common myths a founder carries right up until someone else uses something close to their name.
This video breaks down exactly what CAC registration covers versus what only a trademark protects.
Oduko R helps founders check both before spending real money building a brand around either one.

A registered business and an unregistered business are two completely different things in the eyes of the law, and most founders only discover which side they're actually standing on when a deal, a debt, or a dispute puts it to the test.
This video has both sides explain exactly what each one gives you, and what each one leaves exposed.
Oduko R helps founders move from one side to the other properly, without the paperwork becoming its own headache.

You didn't lose your dream business name because it lacked creativity, you lost it because it sounded exactly official enough to trip the rule CAC built to catch names like it. This video walks through all five reasons under Section 852 of CAMA 2020 a name gets rejected, identical or deceptively similar names, restricted words needing a CBN or SEC license, trademark conflicts, misleading names, and names implying a government or foreign connection. Oduko R helps founders check a name properly before falling in love with it. Health-tech carries the heaviest data compliance risk of any industry on this list, and getting it wrong isn't a small mistake.
This video covers CAC registration at a one million naira minimum share capital, and why health data almost always pushes a platform into NDPC's major importance category, a certificate, a mandatory annual audit, and a full Privacy Impact Assessment.
It also flags practitioner verification for platforms connecting licensed professionals to patients.
Oduko R helps health-tech founders get the data side right first.

Being under the tax threshold does not mean you skip filing, it just means you skip paying, and confusing the two is exactly where small companies get penalised.
This video breaks the difference down plainly, filing is telling the government what happened financially, paying comes after, and every company files, even the ones exempt from paying, even the ones running at a loss.
Oduko R keeps this distinction simple so a small company never mistakes one for the other.
