Texas and corporate law are having a moment! I've updated my paper, "Texas, Delaware, and the New Controller Primacy," to try to keep up. Spoiler: SB 29 passed, which allowed Tesla to amend its bylaws to prohibit derivative suits w/o 3% of shares ($32B). https://t.co/YZAkCBLhnr
So cool that SSRN highlighted my new paper, "Texas, Delaware, and the New Controller Primacy"! If you are interested in what is going on with Texas and the Delaware reincorporation question, read on!
In January 2024, Elon Musk initiated the process of moving #Tesla from Delaware to #Texas, citing concerns over Delaware #corporatelaw. The move sparked discussions about the dominance of #Delaware corporate law.

@TheCLBoyd@WashULaw @WUSTLPoliSci @PolsUga@UGA_SPIA Congratulations! I remember thinking you were a rockstar when you went on the market years ago, and I still think it now. I love it when great things happen for great people!
In "The Contractarian Joint Venture," @Prof_CarlaReyes and I offer DAOs pathway to an entity that doesn't have unlimited liability and doesn't issue securities. Proposals: default partnership statute amendment and new Howey/Reves test for crypto assets. https://t.co/ajJu5Tx7D2

Grateful to the American #Legal#Technology Awards for this honor. I am stunned to have been named the winner in the #education category. My co-finalists are giants in our field and it was an honor to be named a finalist alongside them. Stunned, humbled, grateful.
I listen to few legal podcasts, but I love @MorePerfect. Season 1 was amazing, and 2 was surprisingly fun and interesting. I often think about things I learned from the show. Can’t wait to see what they do next!
The incredibly talented team @MorePerfect lost our jobs today. I’m feeling so grateful for the time we spent telling vital, heartbreaking, damn good stories about the high court. And now, we plot the next move 👀
My latest article, “Socially Acceptable Securities Fraud.” expresses concern that prosecutors will use tweet fraud as the new wire fraud — second order crime that’s easier to prove than the big fraud. 13 counts in the SBF indictment — 2 relate to tweet fraud, lots to wire fraud.
