In the interest of transparency and to set the record straight, I must address the unfounded lawsuit filed by my former colleague, Cyrus Hodes, against Stability AI and I on Thursday.
He alleges that he was deceived into selling his shares to me when he voluntarily left the company in July 2021.
Let me be clear: these claims are devoid of both factual and legal merit.
Stability AI's initial mission was to collaborate on projects aimed at combating Covid.
Our efforts were hindered by bureaucratic obstacles and unfulfilled technological promises from partners.
Despite our tireless dedication, the projects were unsuccessful, prompting Cyrus to exit the company and sever all ties.
He demanded a clean break and that I repurchase his founder shares at their original $100 cost and refrain from mentioning him again in association with the company.
I urged Cyrus to keep his shares, assuring him that I would continue the company and, eventually, it would hold value. Regardless, Cyrus insisted on the sale, which I agreed to and was ultimately executed in two parts due to an oversight on my part.
At the time of Cyrus's departure, I was working on nascent generative AI imaging, which has since become integral to Stability AI's prosperous and influential business.
Cyrus claims that I concealed the generative AI imaging project from him, that he was unaware of it, and that I had a legal obligation to disclose the project before purchasing his shares.
All these assertions are categorically false.
Firstly, we possess evidence proving that I shared images from my generative AI experiments with Cyrus via text prior to his departure from the company (see attached).
Secondly, I openly showcased my generative AI and open-source work on Twitter, making it available to the public. While Cyrus acknowledges these Twitter posts in his complaint, he feebly claims ignorance of them.
Lastly, even if I had concealed the generative AI experiments or Cyrus were genuinely unaware of them prior to selling his shares, there would be no legal basis for his accusations. The applicable law for private companies does not require disclosing internal R&D efforts or negotiations with potential capital sources to Cyrus.
In summary, Cyrus abandoned the company in July 2021. His lawsuit is a blatant attempt to profit now, despite contributing nothing to our successful shift to generative AI.
Given we had no external shareholders or funding at the time, I would have simply established a new company to pursue open-source generative AI had there been any issues.
Furthermore, if Cyrus is unable to profit from this situation, he seems intent on harming the company. His counsel has communicated that he would "burn it down" if he ultimately recovers nothing.
We will vigorously defend against Cyrus's groundless claims. Stability AI's dedicated employees will continue to build a thriving business that will make the world a happier, more creative place.
