I get blown away every time I read this paragraph by Carl Jung:

Would bet your particular muni has pretty tight rules - septic drain field to bedrock distance, lot size - on allowing non-grandfathered conventional.

Few points to the alterative:

- More buyers to mgmt time non-linear, esp. earlier round(s) - materials set, bankers process
- Strategic buyer mix / empire building / synergy view vs. a "standard" good PE underwrite creates premia - many smaller caps fit former
- No one wants to get sued for tripping fiduciary duty
