SICO has successfully completed the merger of its previously wholly owned subsidiary, SICO Funds Services Company (SFS), into its operations.
This strategic milestone strengthens SICO’s integrated operating model by bringing fund administration, fund accounting, and custody services directly under SICO B.S.C. (c), enabling greater operational efficiency and a more seamless client experience.
The completion of the merger followed all regulatory and legal requirements, including the voluntary surrender of the SFS licence and the transfer of its business to SICO. This administrative step does not affect SICO B.S.C. (c)’s wholesale banking licence or ongoing operations, and the Bank continues to serve clients as usual under its licence issued by the Central Bank of Bahrain.
This milestone reinforces SICO’s commitment to delivering an integrated suite of investment solutions and creating long-term value for its clients.
We would like to clarify that the recent notice published in the Official Gazette relates solely to SICO Funds Services Company (SFS), a former wholly owned subsidiary of SICO. It does not affect SICO B.S.C. (c), which continues to operate under its wholesale banking licence and conduct business as usual.

SICO successfully completed its advisory mandate on the share-swap acquisition of Truffle Hospitality Holding W.L.L. by Bahrain Family Leisure Company (BFLC), reinforcing its role as a trusted advisor on landmark transactions in the region.
The transaction was structured as a 100% share swap, valuing the deal at approximately BHD 3.7 million and resulting in Truffle becoming a wholly owned subsidiary of BFLC. Following completion, Dividend Gate Capital W.L.L. now holds a 58% stake in BFLC, with the remaining 42% held by existing shareholders.
The combined group now represents one of the largest listed hospitality and food & beverage companies on the Bahrain Bourse, operating more than 20 brands and over 50 outlets across four GCC countries.

SICO announced its financial results for the first quarter ended 31 March 2026, reporting a net profit attributable to shareholders of BD 572 thousand (USD 1.5 million). Despite challenging global and regional market conditions, the Group maintained strong operational resilience and continued to advance key strategic initiatives.
Key highlights from the quarter included:
• Assets under management (AUMs) increased to BD 3.1 billion (USD 8.3 billion)
• SICO maintained its position as Bahrain’s leading broker with a 58% market share
• Continued progress on strategic transactions and regional growth initiatives
• Application submitted to launch the “SICO GCC Dividends Fund” in Saudi Arabia

SICO held its AGM on 29 March 2026, where shareholders approved a cash dividend of 7.5% (7.5 fils per share), totaling BD 3.219 million (USD 8.5 million).
A new Board was announced , with six directors appointed:
Abdulla Kamal, Dana Raees, Elham Al Majed (Pension Fund); Usman Ahmed and Hussain Al Mohri (NBB); and Sh. Waleed Al Hashar (Bank Muscat).
Four directors were also elected by acclamation:
Ebrahim Mashal, Fadi Al Qutub, Sh. Fahad bin Ebrahim Al Khalifa, and Khalid Al Jassim.
Chairman Abdulla Ahmed Kamal reaffirmed SICO’s operational readiness and ability to continue serving clients with efficiency and reliability, supported by Bahrain’s strong institutional framework and close coordination with regulators.
He also expressed pride in Bahrain’s leadership and extended appreciation to the Bahrain Defence Force, Ministry of Interior, medical professionals, and all frontline workers for their dedication in safeguarding the nation.
The Chairman thanked shareholders for their continued trust, acknowledged the contributions of the outgoing Board, and welcomed the new Board, reaffirming the Bank’s focus on executing its strategy and driving sustainable growth.
