Securities and Futures Commission Imposes Sanctions on ASCENDIO, Myeongga Dairy, and Others for Accounting Violations

Companies that violated accounting standards - Ascendio, Uiwang Baekun Project Finance Investment, and Myeongga Dairy - will face sanctions from financial authorities.

The Securities and Futures Commission held its 12th meeting this afternoon (24th), presided over by Chairman Kwon Dae-young, and decided to impose fines and auditor designation measures on these companies.

Auditor designation is a measure that requires companies to be audited by an auditor appointed by financial authorities instead of selecting their own accounting firm.

Film production company Ascendio was found to have failed to record a 29.5 billion KRW loss in its books in 2019, even though the value of its subsidiary investment stocks had declined.

As a result, Ascendio received a 3-year auditor designation and a recommendation to dismiss its former finance executive.

Humasis Minority Shareholders Sue Former Chairman Namgoong Kyun (FANTAGIO Shareholder) … “Suspicions of Reckless Investment of Company Funds”

Controversy over Billions stake value plunging from 51.5 billion won to 8 billion won… Rights offering and affiliate fund flows also under investigation.

The controversy over the responsibility of former management at Kosdaq-listed company Humasis is escalating into a legal dispute.

Minority shareholders have filed a complaint against former Chairman Namgoong Kyun for violations of the Capital Markets Act and business-related embezzlement and breach of fiduciary duty. As a result, the large-scale investments and fund execution processes carried out after the past acquisition of management control will now face scrutiny from investigative authorities and financial regulators.

According to legal and financial investment circles, Humasis minority shareholders recently submitted a complaint to the Seoul Southern District Prosecutors' Office and the police, and separately filed a petition with the Financial Supervisory Service.

It is known that the Seoul Southern District Prosecutors' Office registered former Chairman Namgoong Kyun as a suspect and transferred the case to the Suwon District Prosecutors' Office Anyang Branch.

The core of this complaint is not simply a matter of stock price decline or investment losses.

Minority shareholders claim that after securing management control of Humasis, Namgoong Kyun directed the company's abundant liquid assets into equity investments in companies that were affiliates or related parties. In this process, the company's value and shareholder interests were damaged.

At the time Namgoong Kyun secured management control in the first quarter of 2023, Humasis held liquid assets in the 3.5 trillion won range.

However, approximately 59 billion won was subsequently invested in stakes and convertible bonds related to Billions and Kyungnam Pharmaceutical. By around March 2026, when Namgoong Kyun sold his management control, liquid assets had decreased by about 140 billion won.

The biggest controversy concerns the investment in Billions. Humasis acquired a stake in Billions for 48 billion won in May 2024, and after additional payments, the total acquisition cost rose to 51.555 billion won according to quarterly reports.

However, the book value of that stake has fallen to the 8 billion won range. This means impairment losses of more than 400 billion won relative to the original investment amount have been recognized.

Minority shareholders are questioning the fact that additional funds were injected even when losses were evident.

When Billions carried out a rights offering after a capital reduction, Humasis made an additional payment of about 3.5 billion won to maintain its stake ratio. However, as the value of the investment assets declined further afterward, suspicions have arisen that this decision caused damage to the company.

Minority shareholders claim, “Additional capital contributions were made at a time when the possibility of impairment could be fully recognized,” and argue, “The former largest shareholder left the company after securing the management control premium, but the losses remained with the company and ordinary shareholders.”

The process of Billions' rights offering is also a point of contention. In March this year, Billions decided on a 10 billion won third-party allocation capital increase and listed two new technology investment associations (which were still in the planning stage) as the allocation targets.

i feel like some people are completely missing the point here. eunwoo can practice whatever religion he wants and that's totally fine, like, a lot of us share the same one anyway. but making this a whole news story when it happened in his private life, completely off-camera, is just extremely weird. what's even crazier is people using his choice to claim he's 'repenting' for "tax evasion" when he never even did that. that's exactly how korean media is spinning the whole thing. yeah, obviously you're gonna see support and congrats on international posts because literally nobody is translating the full three paragraphs talking about his taxes... they're just gripping part of the first paragraph and the headline.
