UNDERSTANDING STANDARD BUILDING CONTRACT.

CLAUSE 3 — CONTRACT DOCUMENTS

1. What exactly is a construction contract?

2. What documents make up a construction contract?

3. Is the BOQ the contract?

4. When contract documents conflict, which one takes precedence?

5. What does JCT mean by the “printed form”?

It is very important to know which documents form part of the contract, because they set out what the client and contractor have agreed to do. So, no ambiguity, all the parties know what’s expected of them.

The contract documents must contain sufficient details to enable the contractor to understand precisely what is to be done, how it is to be carried out, and when it is to be completed.

Chats, discussions, letters exchanged before the contract is entered into, and the contractor’s programme of works are not automatically contract documents, unless otherwise stated..

The lead consultant, acting as the client’s representative, can rely on minutes of site meetings as evidence of what has been discussed or agreed.

In the JCT Standard Building Contract (SBC), the contract documents generally include:

- Contract Drawings
- Contract Bills
- Agreement
- Conditions

Where applicable, they also include:

- Employer’s Requirements
- Contractor’s Proposals
- Details of the Contractor’s Designed Portion (if any).

The contract drawings must be those identified in the contract and should correspond with the drawings on which the contractor tendered.

In the JCT Design and Build (DB) Contract, the principal contract documents generally include:

-Employer’s Requirements
- Contractor’s Proposals (to include the drawings)
- Contract Bill
- Agreement
- Conditions.

The relevant contract particulars and other documents incorporated into the contract must also be considered when determining the parties’ contractual obligations.

A building contract can be executed in different ways, but two important forms of execution are as a deed or as a simple contract.

One key difference is that a deed does not require consideration to be legally effective, whereas a simple contract generally requires consideration.

For example, if a contractor agrees to construct a house in exchange for payment, the payment provides consideration for the contractor’s work. But, if the agreement is properly executed as a deed, consideration is not required for the deed to be binding, so you must separately talk about the consideration.

An important point about the JCT printed form:

The printed form refers to the standard contractual provisions published by JCT. It is important to understand how these provisions interact with the other documents forming the contract.

For example, if the bills provides for an estate of houses to be completed on specific dates, in other words phased completions, and the printed form contains just one date, it’s the date in the printed forms that will apply and the contractor will have fulfilled its obligations as to the time for completion if it completes all the house on that one date. If the printed form states that payment period is 21 days, that cannot be overridden by a clause in the BoQ allowing 28 days.

Understanding the contract documents is important because they establish the contractual obligations of the client and contractor. Knowing what each document contains, and how the documents interact, can help prevent misunderstandings and disputes during construction.

Be patient with yourself. Life isn’t a race, and success doesn’t always favour the fastest, strongest, or smartest. Time and opportunity happen to everyone. Trust your journey and keep going; your season will come.

People used to stay back in Ilorin after graduating because of how peaceful the city was. Now, many no longer want to stay because of the harassment they face from the police.

🤍 Luka Modrić: “Cristiano is the greatest player in the history of Portugal, and he deserves another farewell and another ending with the national team”.

“It’s sad to see this happening to Cristiano in his own country”.

“Still, I think they will find a solution, because Cris deserves, whether he retires or decides not to continue with the national team, to have a great farewell that reflects what he deserves”.

“So, I don’t know exactly what happened, but I hope the situation gets resolved”.

[Foundational Nupe Lawyer @egi_nupe]

For many young people out there, we have been sold a dangerous idea: that only the successful and the intellectual have the right to speak, encourage, advise, or motivate the young. Because of that belief, we worship results and ignore process. We treat life as if it must always look rosy, curated, and triumphant. We polish the highlight reel and call it truth.

We do not want to hear from people who made costly mistakes. We treat their stories as contamination instead of instruction. Yet those are often the people who can tell you, with painful clarity, how not to live. They know the shortcuts that look clever until they collapse. They know the relationships that seemed worth it until they weren’t. They know the pride that felt like strength until it isolated them. A first-class graduate can tell you how the exam was passed. A person who failed, recovered, and still carries the scar can tell you what the exam actually costs when you get it wrong.

We also do not want to listen to those who struggled honestly, worked brutally hard, and still did not “make it” by the narrow scores we use to measure a life. We act as if effort only counts when it produces applause. That is a cruel and stupid standard. Some people do everything they can with the tools they have and still meet closed doors, bad timing, illness, family duty, economic shock, or plain bad luck. Their lives are not cautionary tales of laziness. They are evidence that the world is not a meritocracy machine that prints trophies for every sincere attempt. If we only listen to winners, we teach the young that struggle without a medal is shame. That is how people start hiding their real lives.

Look at students. Almost every class wants the first-class student, the prize winner, the one whose transcript looks like a brochure. Few want the graduate with a pass, a third class, or a second-class lower. We assume those results mean there is nothing useful in that person’s mind. That assumption is snobbery dressed as ambition. A lower class does not automatically mean a smaller soul, a weaker work ethic, or a poorer understanding of life. Sometimes it means a student was working two jobs. Sometimes it means grief, depression, a sick parent, a bad lecturer, a late start, or a talent that does not sit neatly inside examination halls. Sometimes it simply means the person is human in a system that pretends humans are ranking algorithms.

The obsession with perfect outcomes produces fragile young people. They learn to perform success rather than build character. They become afraid of ordinary seasons: the year that does not sparkle, the degree that is not first class, the business that dies, the relationship that ends, the dream that has to be revised. They think a life is only worth narrating after the award. So they stay silent when they most need company, and they refuse company from anyone whose story is unfinished or unglamorous.

Wisdom does not live only in first place. It lives in the person who fell and can describe the ground. It lives in the person who ran hard and still finished outside the lights. It lives in the graduate who did not top the class but learned how to keep going when the ranking said they were average. If we want younger people to survive real life, we should stop asking only the crowned to speak. Let the bruised speak too. Let the almosts speak. Let the ones who tried and were not celebrated speak. Their lessons are not lesser. They are often the ones that keep a person standing when the applause never comes.

Is it too late to retrace our steps?
