THE PIC IS IN A GOVERNANCE CRISIS. WE SHOULD ALL BE WORRIED.
Part 1
Africa’s largest asset manager, entrusted with managing more than R3 trillion on behalf of public-sector clients, is in the middle of a full-blown governance crisis that should unsettle all of us.
And by all of us, I mean all of us.
Its largest client, the Government Employees Pension Fund, represents more than 1.2 million active members and 565,000 pensioners and beneficiaries.
The PIC is also the largest institutional investor on the JSE, meaning this crisis reaches far beyond the public sector.
WHAT HAPPENED:
Oct 2025: CIO Kabelo Rikhotso is placed on precautionary suspension following a whistleblower report. August van Heerden steps in as acting CIO.
Mar 2026: Rikhotso and the PIC part ways through a mutual separation agreement. No public finding of wrongdoing is announced.
Jun 2026: A separate whistleblower report raises allegations concerning CEO Patrick Dlamini.
Jul 2026: Dlamini is placed on precautionary suspension. Van Heerden also ceases serving as acting CIO. Leon Smit and Batandwa Damoyi step in as acting CIO and acting CEO respectively.
Jul 2026: The FSCA opens a formal investigation into governance, leadership stability, transparency, integrity and accountability at the PIC.
Jul 2026: Six non-executive directors resign, followed by board chairperson David Masondo. This board was appointed in September 2025.
28 Jul 2026: Dlamini’s urgent High Court application challenging the lawfulness of his suspension is expected to be heard in Pretoria.
The South African government is the PIC’s sole shareholder. Finance Minister Enoch Godongwana represents the shareholder and, in consultation with Cabinet, holds the power to appoint the new board.
He is expected to place proposed names before Cabinet on 28 or 29 July 2026.
We should all pay attention to who they are.
Not only to their qualifications, but to who nominated them, what interests they represent, what relationships they have with the PIC and its investee companies, what conflicts they declare, and whether they possess the independence and courage to challenge both management and the shareholder.
The names will tell us whether government intends to rebuild the PIC or merely repopulate the boardroom.
Finance Minister Enoch Godongwana has, in fact, issued a warning that should have stopped the country in its tracks:
Instability at the PIC “poses systemic risk to the economy”.
Pour the coffee.
Because the suspension, the resignations and the court case are only the visible part of the crisis.
Beneath them lies a disputed airport transaction, a forensic investigation, a troubled unlisted-investments portfolio, a struggle over who controls the PIC’s investment machinery, and a governance warning South Africa received six years ago but failed to resolve.
