Genius Group Limited v. LZG International, Inc. et al
A Decisive Judicial Victory: United States Court of Appeals for the Second Circuit Vacates Injunction Against Genius Group Following Total Arbitration Triumph
This court decision represents a total vindication and a resounding legal victory for Genius Group against LZGI and key individual executives Michael Thomas Moe and Peter Ritz. The U.S. Court of Appeals for the Second Circuit decisively struck down an unwarranted, overreaching court order that had unfairly restricted Genius Group’s operations, dismantling the opposition’s legal maneuvering once and for all.
The dispute originated when LZGI alongside key figures Thomas Moe and Peter Ritz, secured a Preliminary Injunction (PI) And Temporary Restraining Order (TRO) that handcuffed Genius Group’s strategic initiatives. The order blocked the company from executing core growth activities, including issuing shares and advancing its Bitcoin treasury strategy.
Genius Group immediately south the Appeals Court to challeng the ruling on appeal, maintaining all along that the lower court relied on flawed facts and misapplied the law to hinder its legitimate corporate roadmap.
Genius Group’s stance was completely validated when the ICC independent arbitrator thoroughly reviewed the merits of the dispute involving LZGI, Moe, and Ritz, issuing a final award entirely in favor of Genius Group. With the company's full victory secured in arbitration, the federal appeals court agreed that the restrictive injunction against Genius Group had lost any legal justification, officially vacating the order and completely freeing the company to run its business without interference.
Looking ahead, Genius Group holds all the momentum as the case returns to the district court. The company is actively petitioning the judge to formally confirm its binding arbitration win under federal law. The opposition's remaining attempts to overturn the outcome face an exceedingly high legal bar, positioning Genius Group to finalize its complete courtroom victory over LZGI, Thomas Moe, and Peter Ritz and move forward unimpeded.
Congratulations to Mark @BasileEsq and The Basile Law Firm, @rogerhamilton and Genius Group, and investors and shareholders!

Second Circuit vacates the injunction that had blocked Genius Group from issuing shares, raising funds, and purchasing Bitcoin.
Company is now free to fully execute its board-approved $1.2 billion capital plan and dual Bitcoin and AI treasury strategy without risk of legal impediment.
SINGAPORE, Sept. 02, 2026 (GLOBE NEWSWIRE) -- Genius Group Limited (NYSE American: GNS) ("Genius Group", "GNS" or the "Company"), a leading AI-powered education group, today announced that the U.S. Court of Appeals for the Second Circuit has vacated the preliminary injunction that had been granted against the Company by the United States District Court for the Southern District of New York on March 13, 2025.
The summary order, filed on August 31, 2026, terminates the preliminary injunction granted against the Company and in favor of the movant, LZG International, Inc (“LZG”), by the Southern District of New York on March 13, 2025 (but later stayed by the Second Circuit on May 7, 2025).
The injunction had restricted the Company from issuing shares, raising capital, and purchasing Bitcoin, has now been terminated and remanded to the district court for further proceedings to maintain the status quo pending final resolution of the action between Genius and LZG.
The decision represents the culmination of an 18-month legal battle in which Genius Group successfully challenged an award of injunctive relief that the Company has maintained from the outset was sought on inaccurate, untrue statements and designed to obstruct the Company's legitimate corporate strategy.
This latest victory follows the successful conclusion of the arbitration between the Company and LZG under the International Chamber of Commerce (ICC).
On April 16, 2026, the ICC Arbitrator issued its final award, finding entirely in favor of Genius Group. Pursuant to the final award, the Company is entitled to the return of 7,387,374 shares of Genius common stock, monetary damages in the aggregate amount of $6,595,180.00, and legal fees and expenses in the amount of $1,375,988.53.
With the injunction now formally vacated, the Company is free to fully execute its board-approved dual treasury strategy and $1.2 billion capital plan without legal restriction.
Impact and Next Steps
With the injunction vacated, Genius Group is positioned to move forward on multiple fronts:
>> Dual Treasury Execution: The Company can fully execute its board-approved $1.2 billion capital plan to fund its Bitcoin Treasury and AGI Infinity Portfolio (AI Treasury), targeting $2 billion in total assets by FY2031.
>> Arbitration Award Confirmation: The Company is actively petitioning the district court to confirm the ICC arbitration award under Section 9 of the Federal Arbitration Act, which would entitle the Company to demand immediate return of 7,387,374 shares and pursue collection of the $7,971,168.53 monetary award.
The 7.4 million shares form part of the 30.1 million shares the Company has identified for retirement and removal from its public float.
>> RICO Lawsuit: The Company's RICO case against LZG officers and insiders, Michael Moe, Peter Ritz, and co-defendants in the Southern District of Florida, seeking treble damages of over $750 million, continues to advance.
The Company previously announced a Board-approved distribution plan from the proceeds of any legal wins, with net proceeds to be allocated 50% to shareholder distributions and 50% to purchase Bitcoin for its Bitcoin Treasury.
