رؤساء مجالس إدارة الشركات المساهمة والبنوك ومديرو الشركات ذات المسؤولية المحدودة وصناديق الاستثمار في مرمى الحبس.

صدر المرسوم بقانون رقم (59) لسنة (2025) متضمّنًا تعديلاً جوهريًا على قانون المرافعات المدنية والتجارية، والذي بموجبه تم إعادة المادة (259) السابق إلغاؤها بموجب قانون الإفلاس، التي أجازت حبس المسؤول عن الشخص الاعتباريالخاص (كالشركات) إذا ثبت أن امتناع الشركة عن تنفيذ حكم قضائي بدين مستحق يعود إليه شخصيًا، ويُعدّ هذا التعديل نقلةً نوعيةً في قواعد التنفيذ الجبري في الكويت، لما له من آثار قانونية واجتماعية واقتصادية هامة.

ومن المتعارف عليه في الشركات المساهمة، أنه يُناط بمجلس الإدارة إدارة الشركة، غير أن هذه المادة تعني أن رئيس المجلس أو أي عضو فيه يمكن أن يتحمل المسؤولية الشخصية، إذا تبيّن أن امتناع الشركة عن الدفع كان بتوجيه أو تقصير منه.

وهذا يُحدث تحوّلاً في المفهوم التقليدي لمسؤولية الشخص الاعتباري، ويجعل أعضاء ورئيس مجلس الإدارة أكثر حذرًا، لا سيما فيما يتعلق بإدارة الديون والأحكام القضائية.
كما تتمتع الشركات ذات المسؤولية المحدودة ببنية قانونية تمنح حماية نسبية لمديريها، إلا أن المادة (295) تفتح باب حبس المدير إن ثبت أن الامتناع عن التنفيذ كان بقراره أو لأفعال ترجع اليه، وهو ما يُعيد رسم حدود المسؤولية الشخصية في هذه الشركات.

واختلفت وجهات النظر القانونية حول هذا التعديل بين إيجابية وسلبية فيرى البعض أن التعديل يؤدي الى تعزيز قوة الأحكام القضائية ويمنع التلاعب والتهرب من تنفيذ الأحكام، وكذلك يؤدي الى تحسين مناخ الاستثمار إذ تطمئن الدائنين إلى وجود أدوات قانونية قوية لحماية حقوقهم، فضلًا عن رفع درجة الحوكمة والمسؤولية حيث يؤدي التعديل إلى دفع مسؤولي الشركات نحو إدارةٍ أكثر انضباطًا واحترامًا للقوانين.

وبالرغم من الإيجابيات المعروضة، إلا أن هناك آثارًا سلبية شبه مؤكدة لهذا التعديل، ومن أبرزها،المساس بمبدأ استقلالية الشخص الاعتباري من خلال تحميل الأفراد (رؤساء ومديري الشركات) المسؤولية الشخصية عن ديون الكيان الاعتباري بمايتعارض مع أحد المبادئ الأساسية في قانون الشركات، مما قد يؤدي إلى زعزعة هذا النظام القانوني المستقر.

فضلًا عن التأثير على جاذبية المناصب القيادية، فسوف يُحجم أصحاب الكفاءة والخبرة عن تولي مناصب في إدارة الشركات خشية التعرّض للحبس نتيجة تقصير مالي قد يكون خارج إرادتهم أو لأسباب تتعلق بالأزمة المالية العامة للشركة.

وكذلك قد يؤدي إلى زيادة الضغوط على البيئة التجارية من خلال تخوُّف المستثمرين من تحميلهم مسؤولية شخصية عن تصرفات الشركات ما ينتج عنه عزوف عن الاستثمار، وخصوصًا في الشركات الناشئة أو التي تمر بظروف مالية صعبة، وكذلك وجود احتمالية لوجود شبهة مخالفة للاتفاقياتالدولية، ومبدأ شخصية العقوبة المنصوص عليه في الدستور.

والأهم من ذلك خطر الاستغلال وسوء التطبيق فقد يتم استخدام هذه المادة كوسيلة ضغط من قبل بعض الدائنين، ما يفتح الباب أمام دعاوى كيدية أو تعسّفية ضد مسؤولي الشركات، سيما وان هناكغياب للمعايير الواضحة لتحديد تعريف "الامتناع الشخصي"، فتركُ الأمر لتقدير قاضي التنفيذ دونمعايير دقيقة قد يؤدي إلى تفاوت القرارات وخلق حالة من عدم الاستقرار القانوني.

والعرض السابق غرضه توضيح كافة الأمور فبينما يسعى التعديل إلى غرض نبيل وهو حماية الدائنين وضمان تنفيذ الأحكام، إلا أنه يحتاج إلى ضوابط صارمة تضمن عدم إساءة استخدامه، كما يجب موازنة أهداف الردع مع الحفاظ على جاذبية بيئة الأعمال وعدم تحميل الأفراد ما يتجاوز مسؤولياتهم القانونية المعتادة، ومن ثم فإن التحدي الحقيقي يكمن في تحقيق التوازن بين الإنصاف والصرامة، وتوفير آليات قانونية دقيقة تمنع التعسف وتراعي طبيعة العمل التجاري.
