Understanding the Complexities Behind the Adani Power Deal
Power Purchase Agreements (PPAs) are long-term contracts—often spanning 25 to 30 years—between private power producers and the government. These are not casual arrangements but high-value, legally binding commitments involving billions of dollars. Unfortunately, it appears that Mr. Khaled Mahmud lacks a clear understanding of the legal intricacies of these agreements.
Such agreements cannot be terminated unilaterally or whimsically. They can only be canceled under specific legal grounds such as “events of default.” In the case of the Adani contract, the company has consistently been available to supply electricity, whereas Bangladesh has repeatedly defaulted—primarily due to delayed or partial payments. Adani built a massive power plant with billions in investment solely to supply electricity to Bangladesh. If the government cancels this agreement without sufficient legal grounds, it would be liable to pay a substantial penalty—potentially several times more than any financial loss incurred by purchasing power at a higher rate.
Moreover, any dispute arising from the termination of such agreements would have to be settled through international arbitration, a process that is both lengthy and complex. While it’s true that the tariff in the Adani deal was higher than some, it wasn’t significantly higher than tariffs offered by other power plants in Bangladesh. The overall system may suffer from inefficiencies or corruption, but legally proving the Adani agreement as fraudulent would be extremely difficult. International tribunals are unlikely to rule in Bangladesh’s favor, especially since the agreement was signed by a sovereign government.
Therefore, instead of attempting to cancel such deals, a more pragmatic approach is to renegotiate the tariff. The government is already engaged in tariff revision discussions with several power providers, including Adani. This route is not only legally viable but also strategically sound.
There has been criticism about why Adani was paid first. In reality, the government released payments to all providers around the same time. Adani received a larger amount simply because their dues were higher. Our own company, for instance, received some older pending payments even before Adani did. As of now, Adani is still owed a significant amount, while our accounts have been fully settled.
It's important to recognize that Adani currently supplies around 1,600 megawatts of electricity. Abruptly cutting off this supply without a backup plan would lead to severe power shortages, especially during peak demand seasons. The reality is: unless the government clears the dues, there are no immediate alternatives. Some portions of the payments remain in dispute and are being withheld, but the bulk of the dues have already been paid.
In conclusion, ignoring these complexities and presenting an oversimplified narrative, as Mr. Khaled Mahmud has done, reflects the unfortunate state of journalism in Bangladesh. Responsible commentary should acknowledge legal constraints, technical limitations, and strategic realities—none of which can be reduced to mere slogans. #IndiaOut
