In my board training sessions, I often hear the same questions from board members and executives. Here are three of the most common—and the answers every board member should know.
1. Can the Chairman Make Decisions Without Consulting the Board?
No. The chairman facilitates board discussions but cannot make key decisions alone. Decisions must be made through board resolutions, ensuring collective accountability. While the chairman can handle routine matters, a good chair will update or consult board members. More importantly, the chairman must push for the implementation of board resolutions—a key part of their role.
2. Can the Chairman or Board Members Give Directives to Management?
No. Board members should never bypass formal governance by issuing direct instructions to management. The board acts collectively, and decisions must come from board resolutions. Committee chairs can engage with management but only within their committee’s mandate.
3. Can Board Members Visit the Office and Interact With Management?
Only when necessary. If a board member has a specific assignment from the board, then yes. Otherwise, frequent visits and informal interactions can blur the lines between governance and management. Even the chairman should limit in-person visits to when it’s truly needed.

It will provide specialist physician consultations for free.
We had said we will start with 10 patients per week, but we have increased that number to 20 per week, then we will scale up in the near future.
