I can sense the desperation over at Ionic Digital. They released another fantasy press release yesterday, where they continue to confuse facts from fiction. So let me drop some indisputable facts:
Fact 1: After emerging from bankruptcy over 13 months ago, Ionic has yet to produce any financials – even unaudited financials – for its shareholders.
Fact 2: Ionic has gone through multiple CEO/interim CEOs, CFOs, GCs and board members and currently has an “interim” CEO. The board has refused to make public the resignation letters of former board members.
Fact 3: Despite promising liquidity, Ionic not only has not gotten its stock listed, but it REFUSES to allow any shareholder to sell their stock.
Fact 4: Elizabeth Lapuma, Ionic’s board chair, has presided over $567B of value destruction across her prior four board seats (WEWKQ, DMSLQ, SRGAQ, EBIXQ) – all four at $0 value on her departure.
Fact 5: 2024 Ionic board member compensation was higher than virtually any S&P 500 company over the same period.
There is a reason Ionic’s board is being sued for breach of fiduciary duty. Don’t let Liz ride Ionic to zero – vote her out. Get a real board that will execute on the following steps:
Step 1: Eliminate the restriction on trading shares and raise capital to provide liquidity to anyone who wants out now.
Step 2: Secure a real management team and auditor and list the stock – initially on the ATS and within 6 months on a national exchange if the ATS doesn’t provide sufficient liquidity.
Step 3: Develop a strategic plan to maximize ongoing value, communicate that plan to shareholders and, on shareholder approval, raise capital to execute that plan.
Finally, from day one, establish clear and regular communication with shareholders.
If you are a shareholder, the Ionic board doesn’t care about you. It’s time for change.
