I remember this morning very well. I had spoken to @elonmusk by phone earlier and written a column in @nytimes for that morning and then went on the air with the news. The truth is I thought the comp plan was the most “skin in the game” in history. I still do. I have criticized CEO comp a lot — but not this package. Without the incentives, he could have easily stepped down as CEO and then where would have @Tesla been? Admittedly, I was skeptical he’d hit the most ambitious targets of the package. But he did — having put his entire comp at risk. Isn’t that what we want when we say “pay for performance?”

Many brokers outside of the US don’t allow retail shareholders to vote. If you live outside the U.S., contact the broker or institution who holds your $TSLA shares and ask them how to vote in Tesla's 2024 annual shareholder meeting. Sometimes, when you don't participate in proxy voting, brokers may exercise their discretion to cast votes on your behalf.

Every vote counts, whether you own one share or tens of thousands. Make your voices heard. It only takes a few minutes.

Regarding reinstating Elon's 2018 CEO compensation plan, he upheld his end of the deal; he delivered on the targets in his 2018 compensation plan. Now, shareholders need to hold up their end of the deal and approve it again. Shareholders also need to show that we do not stand for judges to retroactively invalidate our votes. The Delaware Courts ruling is fundamentally unfair, and inconsistent with the will of the $TSLA shareholders who voted for it.

The 2018 CEO pay package built in further incentives to benefit Tesla stockholders by requiring that Elon hold onto any shares he receives when he exercises his options for 5 years — which means he will continue to be driven to innovate and drive growth at Tesla because the value of his shares will depend on it.

If you vote against Elon’s compensation package, you fundamentally do not understand Elon.

I don’t care if you’ve met Elon. I don’t care if you’ve had dinner with him, or even worked with him. If you vote no, you either do not understand how the man operates emotionally and strategically or you seem to enjoy setting your money on fire.

He doesn’t give a fuck. If he feels like he’s been wronged, you do not want to be on the side that has wronged him.

And yes, it is deeply wrong to not pay someone for 6 years of excruciatingly painful work while they kicked so much ass it takes your breath away.

Elon is OWED this compensation. He has earned it as well as the voting power that comes with it.

He will admit none of this because he’s very smart. He will not advocate for himself, but don’t be naive. Tesla investors need to step up and not only do what’s right, but what’s rational. This really fucking matters to Elon, to the future of Tesla, all of its employees, investors, customers and suppliers.

I do not give a rats ass about Q1 or the recent stock price. I have given 100X more thought into this compensation package issue than anything related to earnings or the stock price, and it worries me greatly that many of our largest investors fail to fully comprehend the implications of a no vote.

Set your stock price expectations aside for a moment. We all recently witnessed how quickly the stock price can change over a few words on a report and some new disclosures about future plans. These things don’t matter in the long run. This vote does. Elon has done an incredible job steadily growing Tesla since the beginning, and he will continue to do so if incentivized. Please think longer term. Please vote carefully.

For a quick moment, imagine you were born in 1900. When you are 14, World War I starts, and ends on your 18th birthday with 22 million people killed. Later in the year, a Spanish Flu epidemic hits the planet and runs until you are 20. Fifty million people die from it in those two years. Yes, 50 million.

When you're 29, the Great Depression begins. Unemployment hits 25%, global GDP drops 27%. That runs until you are 33. The country nearly collapses along with the world economy. When you turn 39, World War II starts. You aren’t even over the hill yet.

When you're 41, the United States is fully pulled into WWII. Between your 39th and 45th birthday, 75 million people perish in the war and the Holocaust kills six million. At 52, the Korean War starts and five million perish.

At 64 the Vietnam War begins, and it doesn’t end for many years. Four million people die in that conflict. Approaching your 62nd birthday you have the Cuban Missile Crisis, a tipping point in the Cold War. Life on our planet, as we know it, could well have ended. Great leaders prevented that from happening.

As you turn 75, the Vietnam War finally ends. Think of everyone on the planet born in 1900. How do you survive all of that? A child in 1985 didn’t think their 85 year old grandparent understood how hard school was. Yet those grandparents survived through everything listed above.

Perspective is an amazing thing. With so much happening right now and as 2023 ends, let's try to keep things in perspective, knowing that we will get through all of this. In the history of the world, there has never been a storm that lasted forever. This too shall pass.
