🚨IMP MILESTONE 🚨 Swiggy is now formally classified as an Indian-owned and controlled company (IOCC), a status under FEMA and India’s FDI policy.
This means:
1️⃣ Ownership: More than 50% of the beneficial equity is held by resident Indian citizens or Indian companies. (Done)
2️⃣ Control: The right to appoint a majority of directors or otherwise control management and policy decisions. (Done)
🎯 Next steps:
Swiggy will be able to hold inventory in its own name instead of relying on third-party partners, changing how it recognises revenue and potentially improving its margin profile.
Once Swiggy becomes an IOCC, Instamart will have the option to own inventory directly, as Blinkit did after Eternal’s restructuring. This would give Swiggy greater control over procurement, assortment and pricing, while potentially improving margins.
However, working capital, expiry, wastage and other inventory risks would also move onto Swiggy’s balance sheet.
Reported revenue could rise sharply as inventory sales are recognised in full, but this would be an accounting change.
Eternal (Blinkit) is already an IOCC.
🚨 Swiggy's IOCC status comes in sooner than some expected.
JM Financial, for instance, had said that the governance changes required could delay full qualification until March 2027.
⏪ History
This is Swiggy’s second attempt to become an Indian-owned and controlled company.
In May, shareholders voted against proposed amendments to the AoA, blocking the appointments of chief financial officer Rahul Bothra and co-founder Phani Kishan Addepalli to the board. The appointments were a step towards securing IOCC status.
Beyond media headlines of a “doped” pilot here’s what actually caused the Airindia Phuket Delhi plane to lose height - Airbus initial report concedes critical controls lost for 4 seconds, triple hydraulic systems failure within 2 seconds and recovery resumes within 7 seconds. The Co-pilot who was flying at the time clearly did a superb job - so far unsung- of bringing the plane under control manually - averting a catastrophe
If this was any other country, @iocmedia and FIFA would ban them from hosting another competition. Like the IOC did with India in 2019, or @fifamedia did with Indonesia in 2023. Then again, there's nothing more blatant than Western double standards

Someone at Sony LIV seems to be under immense revenue pressure & making very stupid short term decisions. 1.5 min of ads (2x15 sec+2x30 sec) after every 3 min is unforgivable. On one occasion they repeated an ad in the same sequence.
This leads to 4 things:
1. Paying customers like me who made the mistake of renewing last month won't next year. Twice now I've given up watching highlights because almost 25% of airtime is ads. Every time you start a stream, you're subjected to 3-4 ads.
2. They'll piss off advertisers who won't return. Seeing the same ad 8 times in 10 minutes creates negative perception for viewers.
3. They're creating grounds for justification of advertising regulation in streaming like there was in TV. At some point in time, MIB will do to online advertising what it did to TV ads.
4. They're making it feasible for Ministry of Health to argue that you can insert anti Tobacco ads in the beginning and middle of a show. This is a mess that Amazon has also created. MoH can argue: if you can do it to make money why can't you put public service ads.
Well done Sony LIV, in screwing over the few people who are actually paying for your service.
