Today, we announced that the SEC has declared the Registration Statement on Form S-4 effective. The proposed business combination will be submitted to $CEPT shareholders of record as of May 11, 2026 (the "Record Date"), for approval at a special meeting scheduled for June 29, 2026, and, if approved, is expected to close shortly thereafter. Upon closing of the transaction, the combined company is expected to operate under the name Securitize Corp., and its shares are expected to trade on the NYSE under the ticker symbol "SECZ."

This points to a broader shift: capital markets steadily moving onchain, with Securitize emerging as a core infrastructure layer for tokenization.

This is the biggest win yet for @Securitize ( $CEPT / $SECZ).

First (Mar 24, 2026) they become the premier design partner for the NYSE transfer agent program, meaning all other transfer agents will have to conform to the standards Securitize creates. Simultaneously massive validation from the premier US exchange and at the same time expands their addressable market to thousands of NYSE-listed tickers.

Now (Apr 29, 2026) they land an agreement with Computershare (**30% of ALL US STOCKS**) that enables their US-listed clients to directly issue tokenized securities as Issuer-Sponsored Tokens (ISTs).

Simplified:
Q: Where do tokenized equities trade?
A: NYSE deal => Securitize is now designing the trading venue for the largest and most prestigious stock exchange in the world.

Q: How do issuers actually tokenize their shares?
A: Computershare deal => Securitize is now providing the tech for the largest transfer agent in the world.

This means that other (inferior) tokenization firms will have to convince a company to both tokenize AND switch transfer agents, which is a painful process. Now any Computershare client (~1.6-1.8k public US cos) can tokenize easily and painlessly via the Securitize tokenization layer. Google "structural moat", gang.
