On December 26, 2024, the Fifth Circuit Court of Appeals reinstated a nationwide preliminary injunction, halting enforcement of the CTA’s BOI reporting requirements. This reverses a prior decision to reinstate compliance obligations.

3. Timeline of Key Legal Developments
•December 3, 2024: A nationwide injunction was issued by the U.S. District Court for the Eastern District of Texas.
•December 23, 2024: The Fifth Circuit stayed the injunction, briefly reinstating the BOI reporting requirements.
•December 26, 2024: The stay was vacated, reinstating the injunction and pausing enforcement nationwide.

4. Current Compliance Status

As of now, FinCEN has clarified that reporting companies are not required to file BOI reports, nor will there be liability for noncompliance during the injunction. Companies may choose to file reports voluntarily.
