today in 2025, owners of both public and private securities still trust away their assets to electronic databases managed by banks, broker-dealers, law firms -- or leave them idle on segregated cap table software or cloud-based spreadsheets
what does a trusted, siloed environment mean for the world's assets and its markets?
it means value extraction, mistake, and inefficiency across all stages of an asset's lifecycle
the calculus changes if we're talking about public securities vs. private securities (or other types of assets), but in general, a few of these current issues that are pretty well defined:
- costly fees accrued as a result of trading ownership or issuing distributions across siloed databases
- costly record keeping, auditing, and reporting services for transactions across siloed databases
- costly legal compliance and opinion for transactions across siloed databases
- inaccurate shareholder accounting and reconciliation systems
- inefficient clearing and settlement speeds
- loss of appraisal / voting rights
as history has mostly shown us since humans were carving words into rocks, our legal layer will continue its inevitable march to locate more optimal formats as humans evolve -- specifically where formats better pursue the principles of the legal layers we create for ourselves (e.g. protecting investors, facilitating smoother markets, eliminating fraud, etc)
tokenization (or, using blockchains as a recording database for real world assets including private securities and public securities) essentially unlock the world's assets from the trusted, siloed, databases of the world -- into an environment that enables trustless settlement and contracting
tokenization is different than pure "digitization", which often serves as a more efficient style of paper-based contracting
blockchains largely solve all of the above issues, and also these digital assets to enjoy all sorts of other innovations that blockchain-based protocols allow
