The side-by-siding of $MPW will continue until transparency improves, which probably means forever. Here we have $MPW's 7.18.18 response to an @SECGov comment letter, citing another temporary >20% asset exposure to Steward. In it, $MPW cites SJM in Houston being held-for-sale and sold on 3.1.18 as rationale for not tripping the ~20% tenant threshold. But what this response did NOT say, but can be found with the Harris County Recorder, is a deed amendment from Sep. 2018 that shows (1) a purchase and sale dated 5.18.18 w/ $MPW as buyer and (2) an assignment dated 6.27.18 (both before the date of $MPW's response to the SEC), and then (3) a recording on 8.8.18 just three weeks after the response. So, $MPW sold SJM by effectively converting to a mortgage to get under ~20%, but then bought it back months later in the same year for cancellation of the mortgage + additional cash. All while using the sale as rationale to not disclose Steward's financials. And then, of course, did not call out explicitly in 10-Q. I know what this looks like.... and it's not the "High Road."
