$FLES This is a long post, but hopefully brings a bit of clarity. There seems to be a lot of confusion over shares to DTC. However, all the info from interviews this month and the standstill agreement 8k explain where these are from.
IMO @AP4Less and @BrettRosen325 have been very transparent, and nothing about the increase is really surprising when you factor what they have talked about and pointing people to read the 8k.
DTC went from 34,280,479 to 55,622,958 which is a difference of 21,342,479. People seem to be completely shocked by this increase, but remember, this was ALL necessary to get the standstill agreements in place. It looks bad, but the whole point of this is to have 8 full months of no new shares added to the float so they can finally grow the share price and build the market cap.
In BFC interview a couple weeks ago, Brett talked about Cove possibly being the entity that got the 5M shares last DTC update, but turns out it was this note holder #3 GS Capital (who is done getting anymore shares). So, I expected the Cove penalty shares would be added, which is 6,482,479.
21,342,479 - 6,842,479 = 14,500,00. A very round number. We know that Brett got 7M of those, so that leaves exactly 7.5M left.
Read in the 8k about the pre-standstill shares to AJB Capital - they got 9,580,800. But remember, there is a 4.99% equity blocker. OS was around 155M when their shares were issued, so 7.5M was just under that 4.99%. That means they have 2,080,800 more shares to receive, which everyone should expect (probably on the next DTC update). So don’t be shocked in the future when you see this increase…now you know. I do believe AJB will be holding on to those 2M shares when they do get issued.
So, having said all this, I really do believe the selling is nearly done. I finally grabbed a starter position on Friday, and will be DCA to a full position this coming week. Even though price has declined, volume has declined with it. I had a .02 bid in all day Friday that never got touched, even though price dipped below .02 Thursday. .018-.02 is a strong demand zone, so I do believe this is the floor here until the selling stops completely or buyers step in heavier. After OTCN got pushed back on L2 Friday, a 800k bid popped in at .0248 briefly. Whales are circling and appear to be anticipating the bottom is in.
I also believe all the entities that have gotten large amounts of shares, are ONLY selling a smaller portion of those shares to cover principal at least. If they believe in the point of the standstill agreements, it would be very unwise of them not to hold a significant amount for an eventual run up throughout the year IMO.
I fully expect that DTC number will remain basically unchanged now for 8 months, and there will be a TON of marketing and awareness for $FLES over the rest of the year driving in investors as price climbs. I’m expecting HUGE revenue numbers at the end of the year during shopping season that will show everyone just how amazing their business model is, and how profitable it will be. This gives an END OF YEAR catalyst worth holding for.
I have followed @AP4Less closely for over 3 years now, he has given nearly everything for this company…and I do believe @BrettRosen325 will be a massive help with his involvement. Shareholders have been crushed here the past few years, but I really do believe this is about as good of an opportunity to invest in this company at this .02 level and hold for the next 6+ months. Time will tell…
