Warrants are the right to buy shares at x price(sp at the time awarded). Majority of Shankar’s shares are vested warrants at $1.25. Why does this matter? It shows that management has no incentives to do a RS. A RS would convert these warrants too, thus making it harder for them to ever execute them. As long as there’s extensions available or alternative solutions like news coming ect you’ll see them choose this option every time. Compare that structure with another company who’s done multiple RS recently like Muln. You’ll see that the CEO gets paid a certain percentage of float each year as shares. When a CEO is getting paid the same percentage no matter the RS’s, then he’ll be more inclined to do one. Always look for incentives and see if they align with yours. The way Ocugen is structured is one of my favorite things about them. 🍻
