#Tesla - #SpaceXSi MERGER involves exchanging $TSLA shares for $SPCX to form a new company.
Elon sets the price. Tesla shareholders approve by a large majority.
In a fixed-price share exchange (or one company buying the other with fixed-price shares), Elon and his closest SpaceX allies—where he holds a supermajority—set the price, not the market.
Lacking a supermajority in Tesla, the price must include a premium over the current market price (ATH near $500) to attract shareholders.
Value parity means the lower-valued company receives a premium relative to the higher-valued one (SpaceX at $2.21 trillion).
The market will immediately reprice the lower-valued stock higher and the higher-valued one lower (not proportionally). Major catalysts from either side can correct or reverse this.
This explains why Elon has withheld the new Optimus presentation (already in production by the thousands in California), delayed the Roadster, the hinted van on the Cybercab line, and SpaceX breakthroughs like acquiring spectrum for direct-to-device Starlink. With ~10K satellites up and V3s orbiting (from the last Starship launch) enabling it, phones, Teslas, Optimus robots, and Tesla/SpaceX apps (including virtual Optimus AI) will connect via Starlink, as will future space computing, Moonbase, and Starships.
Likely sequence (I'm no Nostradamus 😂):
- Merger announced in 2027: $TSLA surges (rewarding shareholders); $SPCX dips modestly (perhaps 1/4 to 1/3 of $TSLA’s gain).
- Stocks reach equilibrium and move together until the Tesla shareholder vote.
- Approval: both rise moderately as it has mostly been priced-in by the markets (unless a negative surprise from Tesla’s shareholders).
- Combined-entity catalysts unveiled; both stocks rise similarly.
- Official merger ~January 19, 2028: some volatility (possible initial downside), then a clear path to massive growth. 100X base case between 2034–2042.
