KeNHA says the Rironi–Naivasha–Gilgil and Rironi–Maai Mahiu–Naivasha PPP project will be a toll road, with the initial tariff set at KES 8/km.
The 139km road will be developed by the CRBC–NSSF consortium under a 30-year DBFOMT concession, covering design, financing, construction, operation, maintenance and eventual handback to KeNHA.
The question is not whether Kenya may belong to the IMF or the World Bank. The question is whether the Bretton Woods Agreements Act, a statute enacted at independence in 1963 may continue, after the promulgation of the Constitution of Kenya, 2010, to authorise treaty implementation, borrowing, public expenditure, tax exemptions, and institutional immunities in a manner that weakens judicial control of public power, limits access to justice and information, and displaces the constitutional architecture of accountable public finance.
While the Act may have served a lawful purpose at the time of its enactment in 1963, its continued operation must now be assessed against the normative framework of the Constitution of Kenya, 2010.
To the extent that its purpose or effect is inconsistent with the Constitution, the provisions must be read down, adapted, or declared invalid.
Accordingly, even if the Act was constitutionally unobjectionable at independence, its continued effect in the post 2010 constitutional order cannot be sustained where it undermines or derogates from constitutional requirements.
A General Constitutional Test for the IMF Treaty
A treaty, statute, or international agreement amounts to a de facto constitutional amendment if it:
(a) removes a constitutional power from a constitutional organ;
(b) transfers that power to an entity not established by the Constitution;
(c) immunises the exercise of that power from constitutional scrutiny or judicial oversight; or
(d) fundamentally alters the relationship between the people and the institutions through which they exercise sovereign power.
Where any of these effects arises, the court must ask one question. Were the constitutional amendment procedures under Articles 255, 256, or 257 followed?
If the answer is no, then the measure is unconstitutional and invalid to the extent that it purports to alter the Constitution.

Modernizing our critical aviation hub is essential for economic growth, but the proposed funding model of relying heavily on commercial loans backed by the Air Passenger Service Levy risks placing an unfair burden on Kenyan travelers and airlines. This levy must not become a hidden financial tool that inflates the cost of flying without delivering clear benefits to ordinary citizens.
The Law Society of Kenya calls for full public disclosure of the contract terms and procurement process to ensure absolute compliance with the Constitution and public procurement laws. We demand rigorous oversight to guarantee local content participation for Kenyan firms, alongside independent verification that this massive project delivers genuine value given the country’s debt sustainability concerns. Large scale infrastructure projects must serve the public interest and uphold the public finance principles under Article 201 of the Constitution.
